格隆匯7月20日丨海汽集團(603069.SH)公佈,公司下屬瓊海分公司協助辦理土地使用權過户手續並與關聯方高速房地產公司及高速瑞海公司簽訂《補充協議》《土地使用權轉讓合同》等相關協議。本次交易事項構成關聯交易。

2003年3月19日,瓊海分公司以出讓方式取得位於瓊海市嘉積鎮銀海路一宗國有建設用地使用權,面積56196.0平方米(約84.29畝),規劃用途為商住用地;土地證使用權證號為:海國用(2003)第0424號,土地使用年限70年(自2003年3月26日起至2073年03月15日止)。取得該宗土地後,完成了瓊海客貨運輸中心車站主體建設,建築面積14840平方米。

三方確認該宗土地總價款為9877.05萬元,由3部分構成,即簽訂《國有土地使用權轉讓合同》後高速房地產公司已支付的土地轉讓價款4068萬元,高速房地產公司自2012年12月13日簽訂《國有土地使用權轉讓合同》後至2020年6月30日期間向瓊海分公司支付的土地使用税及其他費用等累計487.91萬元(瓊海分公司與高速房地產公司確認該兩部分為高速瑞海公司已向瓊海分公司支付的部分土地轉讓款);辦理土地過户所需的除瓊海分公司企業所得税外的税費5321.14萬元(該部分剩餘土地轉讓款由高速瑞海公司按約定向瓊海分公司支付)。

上述事項將增加公司本年度收入9434.06萬元,同時增加成本、税金及附加共計9121.98萬元,增加本年度利潤312.07萬元。
