香港醫思醫療集團(02138.HK)擬進一步收購骨科業務公司24%股權
格隆匯 7 月 20日丨香港醫思醫療集團(02138.HK)發佈公告，2020年7月17日，公司、買方(公司的間接全資附屬公司，聯合(集團)投資有限公司)與賣方(朱君璞及林福傑)訂立買賣協議，據此，賣方已同意以總代價9460萬港元出售目標公司的2400股普通股(相當於目標公司全部已發行股本的24.00%)，其將透過公司向賣方(i)配發及發行2252.4萬股代價股份；及(ii)發行1000萬份認股權證的方式償付，惟須受買賣協議所載條款及條件規限。
於該公告日期，買方、第一賣方及第二賣方分別為目標公司5100股、2280股及120股的法定及實益擁有人，分別佔目標公司已發行股份總數的51.00%、22.80%及1.20%。代價股份相當於該公告日期公司已發行股本約2.25%及經代價股份擴大後公司已發行股本約2.20%。發行價每股代價股份4.20港元，較股份於買賣協議日期收市價4.03港元溢價約4.2%。
於悉數行使認股權證後，將發行最多1000萬股認股權證股份，相當於該公告日期公司已發行股本約1.00%及經認股權證股份擴大後公司已發行股本約0.99%。發行價每股代價股份4.20港元，較股份於買賣協議日期收市價4.03港元溢價約4.2%。
董事將向股東尋求特別授權以向賣方配發及發行(i)代價股份及(ii)認股權證及認股權證股份。公司將向聯交所申請批准代價股份及認股權證所附認購權獲行使時可能須予配發及發行的認股權證股份上市及買賣。
公告表示，目標公司Hong Kong Pain and Wellness Solution Limited及其附屬公司主要從事提供脊醫、骨科、痛症及養生服務。目標集團繼續於脊醫、骨科、痛症及養生服務方面取得顯著表現，併為集團創造經常性收入。進一步收購目標集團24%的權益為公司進一步增加及集中目標集團的持份提供龐大機會。有關收購可讓集團變現良好的投資機會，並有效地利用財務資源。
