比音勒芬(002832.SZ)：擬收購微傳播旗下企業上海微祥網絡
格隆匯 7 月 20日丨比音勒芬(002832.SZ)公佈，公司於2020年7月17日與江西微傳網絡科技有限公司(“江西微傳”)、上海微祥網絡科技有限公司(“上海微祥”或“目標公司”)籤訂了《併購意向協議》。為推動業務發展，經各方友好洽談，公司擬以現金方式收購江西微傳所持有的目標公司100%股權。
各方同意，根據目標公司的業績承諾，此次交易擬參照目標公司2020年預測的歸屬於母公司股東的扣除非經常性損益前後孰低後的淨利潤4000萬元，總估值約人民幣4億元。
各方同意，對目標公司的總估值具體以具有證券期貨業務資格的資產評估機構評估出具的評估報告所確定的數值為準。此次交易標的股權的交易價格將參照前述評估報告所確認的數值並經交易各方協商後確定。
乙方促使並保證，目標公司承諾在2020-2022年內實現的淨利潤(扣除非經常性損益前後孰低)分別不低於4000萬元、5000萬元、6000萬元。
上海微祥系新三板掛牌公司微傳播(北京)網絡科技股份有限公司(證券簡稱：微傳播，證券代碼：430193)旗下企業，微傳播是專注於提供社交網絡及新媒體整合營銷服務解決方案的企業，擁有基於騰訊系、新浪系社交信息羣落的社交電商專業團隊。上海微祥是一家國內領先的短視頻專業營銷機構，憑藉自媒體和短視頻推廣的數據積累，以及在快手、抖音等平台內容製作、傳播、引流等方面的服務優勢，結合MCN服務團隊專業的營銷策略，為客户在短視頻自媒體、社交自媒體等載體上提供優質的視頻內容製作、發行、推廣服務。
如此次交易順利開展，微傳播旗下與京東合作的多米粒電商平台與公司開展直播電商相關業務，藉助標的公司平台大數據基礎，以及多年自媒體、短視頻和直播推廣的優勢，實現公司旗下CARNAVAL DE VENISE(譯:威尼斯狂歡節)品牌與線上渠道的快速連接，加強品牌推廣和線上銷售。通過本次交易，公司將切入短視頻內容服務及社交電商業務，深入佈局短視頻領域，籌備搭建包括直播電商在內的新零售電商業務。此次併購有利於公司更好地優化整體資源配置，與公司品牌營銷充分發揮協同效應，符合公司進一步聚焦新零售業務的發展戰略，同時為公司輸入優秀的電商營銷人才隊伍，提高公司的線上業務規模及盈利水平，對公司的可持續發展具有積極意義。
