海航基礎(600515.SH)：資金佔用及對關聯方擔保超限額未按規定履行審批程序等 收到海南證監局警示函
格隆匯 7 月 17日丨海航基礎(600515.SH)公佈，公司近日收到中國證券監督管理委員會海南監管局《關於對海航基礎設施投資集團股份有限公司、魯曉明、陳德輝、邢喜紅採取出具警示函措施的決定》[2020]14號，現將內容公告如下：
《關於對海航基礎設施投資集團股份有限公司、魯曉明、陳德輝、邢喜紅採取出具警示函措施的決定》[2020]14號主要內容如下：
“海航基礎設施投資集團股份有限公司、魯曉明、陳德輝、邢喜紅：
我局發現海航基礎設施投資集團股份有限公司存在以下問題：
2020年4月30日，海航基礎披露2019年年度報告稱，報告期內存在控股股東及其關聯方非經營性佔用上市公司資金的情形，合計金額7.07億元；期末對關聯方擔保餘額167.70億元，超過了股東大會授權的150億元關聯擔保限額。上述事項均未按規定履行審批程序，也未以臨時公告的形式履行信息披露義務。
上述行為違反了《上市公司信息披露管理辦法》(證監會第40號令)第二條、第三十條的相關規定，公司董事長魯曉明、總裁陳德輝、財務總監邢喜紅違反了《上市公司信息披露管理辦法》第三條的規定，對上述違規行為負有主要責任。按照《上市公司信息披露管理辦法》第五十八條、第五十九條的有關規定，我局決定對你們採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。公司應充分吸取教訓，加強相關法律法規學習，提高規範運作意識，認真履行信息披露義務；董事、監事、高級管理人員應當履行勤勉盡責義務，促使公司規範運作，並保證信息披露的真實、準確、完整、及時、公平。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司目前經營穩定，生產經營正常。公司及公司管理層高度重視上述《警示函》所提出的問題。同時，公司將加強內部控制管理，嚴格遵守《證券法》、《信息披露管理辦法》等法律法規規定，強化規範運作意識，及時履行審議程序及信息披露義務，有效提高公司治理水平，杜絕此類問題的再次發生。
