廣田集團(002482.SZ)擬轉讓控股子公司上海榮欣44%股權
格隆匯 7 月 16日丨廣田集團(002482.SZ)公佈，公司於2018年12月29日與上海榮欣裝潢有限公司、陳國宏、深圳市宏拓鵬海投資合夥企業(有限合夥)、上海弘之聚投資管理合夥企業(有限合夥)、上海榮欣裝潢設計有限公司簽署了《股權回購協議》。約定由上海榮欣裝潢有限公司、陳國宏回購公司持有的上海榮欣裝潢設計有限公司44%股權。按深圳證券交易所中小板公司管理部對公司2019年年度報告問詢及公司自查發現，公司未就上述股權轉讓事項依照《公司章程》經董事會審議並及時履行信息披露義務。公司董事會高度重視上述事項，結合相關法律、法規和規章制度及公司的實際情況，2020年7月15日召開的公司第四屆董事會第三十二次會議補充審議通過上述事項。
經公司2016年1月14日召開的第三屆董事會第二十四次會議審議通過，公司與上海榮欣裝潢有限公司(“榮欣裝潢”)、陳國宏、深圳市宏拓鵬海投資合夥企業(有限合夥)、上海弘之聚投資管理合夥企業(有限合夥)、上海榮欣裝潢設計有限公司(“上海榮欣”)簽署了《合作協議》，公司以自有資金向上海榮欣增資人民幣7,000.00萬元，取得上海榮欣20.14%股權，同時，以自有資金8290.00萬元(其中1500.00萬元尚未支付)受讓榮欣裝潢持有的上海榮欣23.86%股權。此次股權交易完成後，廣田集團持有上海榮欣44%股權。
受房地產市場調控以及併購整合等多重因素影響，公司併購上海榮欣未達到預期效益。根據投資上海榮欣相關約定，公司與榮欣裝潢、陳國宏、深圳市宏拓鵬海投資合夥企業(有限合夥)、上海弘之聚投資管理合夥企業(有限合夥)、上海榮欣簽署了《股權回購協議》。協議約定榮欣裝潢、陳國宏回購廣田集團持有的上海榮欣44%股權，回購價款為公司支付給榮欣裝潢的股權轉讓款以及向上海榮欣已支付的增資款，金額合計約1.38億元及自2016年4月1日起以該回購價為基數按10%年利率計算的利息。股權回購款五年支付完畢，2019年開始於每年年底前支付約1.38億元的20%，2023年12月31日前付清剩餘款項及自2016年4月1日起以該回購價為基數按10%年利率計算的利息。
此次股權回購，有利於公司及時收回投資資金，能夠及時消除上海榮欣未來業務發展不確定性可能給公司帶來的不利影響，有利於降低公司風險，將管理資源聚焦於公司自身優勢業務，此次交易完成後，上海榮欣將不再納入公司合併報表，將對公司財務狀況和經營成果產生一定的積極影響。在2019年度產生投資收益7195.79萬元。
