長信科技(300088.SZ)擬變更註冊資本及經營範圍
格隆匯 7 月 15日丨長信科技(300088.SZ)公佈，公司第五屆董事會於2020年7月15日召開的第五屆董事會第二十三次會議審議通過了《關於變更公司註冊資本、經營範圍並修訂<公司章程>》的議案，具體情況如下：
一、公司註冊資本變更情況
根據相關法規和《長信科技股份有限公司創業板公開發行可轉換公司債券募集説明書》的規定，公司本次發行的長信轉債自2019年9月23日起可轉換為公司股份。截至2020年6月30日，共有882.9182萬張長信轉債轉換成公司股票，共計轉股14,126.7026萬股。公司股份總數因可轉債轉股由229,887.9814萬股增加至244,014.6840萬股，註冊資本需相應由229,887.9814萬元變更至244,014.6840萬元。因此，公司擬變更註冊資本並相應修訂《公司章程》註冊資本、股份總數有關條款。
二、公司經營範圍變更情況
為滿足公司業務發展需要，結合公司實際情況，董事會研究決定對經營範圍進行修改，修改情況如下：
修改前經營範圍：生產、銷售新型平板顯示器件(包括觸摸屏、液晶顯示模塊、液晶顯示屏、觸摸液晶顯示屏、家用電器、電子原材料、移動通信產品及模塊、可穿戴式電子產品、智能家居產品、通訊產品)、ITO導電膜玻璃和其他高科技薄膜產品及材料、觸摸屏玻璃、各種觸控顯示模組、各種顯示器件薄化及相關電子元器件；提供上述產品的售後服務及相關技術諮詢服務(涉限涉證及涉國家宏觀調控行業除外，涉及配額許可證管理、專項規定管理的按有關規定辦理)；提供上述產品及相關零配件(含其它企業委託的同類產品)的檢測及維修服務；設立研發機構，研究和開發自產產品及相關產品；貨物進出口、技術進出口。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
修改後經營範圍：研發、生產與銷售新型平板顯示器件及材料、觸摸屏及觸控顯示模組、超薄顯示面板、真空光電鍍膜產品及其他鍍膜產品、顯示器件用玻璃和有機材料蓋板等電子顯示器件及材料、相關光電子元器件及相關光電子設備、零配件、電子原輔材料，為以上產品提供相關的系統集成、技術開發和技術諮詢服務，貨物或技術進出口(國家禁止或涉及行政審批的貨物和技術進出口除外)。
此次經營範圍的變更內容，以工商行政管理部門最終核准登記結果為準。
