神州高鐵(000008.SZ)：與中國交建簽署天津地鐵2、3號線存量PPP項目股權轉讓框架協議
格隆匯 7 月 15日丨神州高鐵(000008.SZ)公佈，公司於2019年12月6日召開第十三屆董事會第十八次會議，審議通過了《關於組成聯合體參與天津地鐵2號線、3號線股權轉讓及PPP項目投標的議案》，擬投標天津地鐵2號線、3號線存量TOT 項目。
根據天津市政府採購網2020年6月22日披露的《天津地鐵2、3號線存量PPP項目(採購項目編號：TJCTZX-20191106001)中標結果公示》，中國交建為該項目中標人，將於近期與政府方代表分別成立項目公司，負責合作期內項目的投融資、運營、維護、追加投資和更新改造等相關事項。
基於神州高鐵整線智能運營優勢以及在天津市軌道交通的深耕佈局，經與中國交建等方面洽商一致，2020年7月15日神州高鐵及子公司神州高鐵軌道交通運營管理有限公司(“神鐵運營”，神州高鐵與神鐵運營合稱“神州高鐵方”)與中國交建簽署了《天津地鐵2、3號線存量PPP項目股權轉讓框架協議》，中國交建同意按照天津市政府轉讓的相關條件，將其持有的2號線和3號線項目公司部分股權轉讓給神州高鐵方，神州高鐵方同意按照相關條件受讓前述股權。
在獲得該項目政府實施機構同意且中國交建取得天津二號線軌道交通運營有限公司和天津三號線軌道交通運營有限公司股權的前提下，中國交建以股權轉讓方式引進神州高鐵方作為2號線和3號線項目公司股東。其中，在天津地鐵2號線項目公司中，中國交建向神州高鐵方轉讓41%的股權。該股權轉讓完成後，項目公司股權結構為：政府方代表持股49%，社會資本方持股51%，其中中國交建持股10%，神州高鐵持股30%，神鐵運營持股11%；在天津地鐵3號線項目公司中，中國交建向神州高鐵方轉讓項目公司10%的股權，該股權轉讓完成後，項目公司股權結構為：政府方代表持股49%，社會資本方持股51%，其中中國交建持股41%，神州高鐵持股9%，神鐵運營持股1%。
