華髮股份(600325.SH)擬開展租賃住房資產支持專項計劃
格隆匯 7 月 13日丨華髮股份(600325.SH)公佈，為進一步盤活存量資產、豐富融資渠道，提高公司資金使用效率，公司擬以擁有的租賃住房作為底層資產，聘請華金證券作為計劃管理人，發起設立“華髮股份租賃住房二號資產支持專項計劃”(“專項計劃”，此次專項計劃的具體名稱最終以專項計劃説明書確定的名稱為準)，並通過專項計劃發生資產支持證券進行融資。
此次發行規模：總融資額不超過50億元，其中發行優先級資產支持證券不超過45億元，次級資產支持證券不低於5億元(最終的發行額度將以上海證券交易所審批為準)；融資期限：擬定為18年。其中優先級擬定為3×6年，每3年設票面利率調整權和投資者退出選擇，每3年公司有權選擇提前終止專項計劃；次級擬定為18年，隨優先級證券結束而結束；此次發行優先級資產支持證券面向境內外合格機構投資人發行，次級資產支持證券由公司認購。
公司控股股東珠海華髮集團有限公司(“華髮集團”)通過下屬控股子公司珠海華髮投資控股有限公司(“華髮投控”)的全資子公司珠海鏵創投資管理有限公司持有華金證券79.01%的股份。公司董事局主席李光寧擔任華髮投控董事長，公司董事謝偉擔任華髮投控總經理、董事。因此華金證券與公司屬於同一實際控制人下的關聯方。
此次專項計劃的開展有利於豐富融資渠道，提高公司資產的流動性，增強公司現金流的穩定性。該專項計劃的實施，能夠提高公司資金使用效率，優化資產結構。
華金證券系經中國證券監督管理委員會批准的具有辦理客户資產管理業務資格的證券公司，具備發行債券融資服務的能力和業務資格,能夠滿足此次專項計劃的要求，將為此次專項計劃的順利發行提供良好的服務保障。此次關聯交易是公司開展專項計劃所需，收費定價公允、合理，沒有損害公司及股東利益，交易雙方履行各自職責，協調各自資源，共同推進，有利於此次專項計劃的發行工作。
