中工國際(002051.SZ)：絲維管理公司未按期歸還150萬歐元借款
格隆匯 7 月 13日丨中工國際(002051.SZ)公佈，2017年，中工國際工程股份有限公司(以下簡稱“公司”)為落實在漿紙領域“三相聯動”戰略，推動公司芬蘭BorealBioref生物煉化廠(紙漿廠)項目落地，參與設立了絲維林漿產業管理公司(SilviIndustriesManagementS.a.r.l，以下簡稱“絲維管理公司”)。為滿足絲維管理公司經營及發展的資金需要，公司第六屆董事會第五次會議審議通過了《關於向參股公司絲維林漿產業基金管理公司提供財務資助暨關聯交易的議案》。同意公司使用自有資金向絲維管理公司提供不超過150萬歐元的財務資助，用於絲維管理公司的設立以及後續投資項目的開發、資金募集等工作的費用開支，借款期限為一年。公司已於2017年7月向絲維管理公司提供了上述借款。經公司2018年第二次臨時股東大會、2019年第一次臨時股東大會審議通過，公司分別於2018年、2019年對上述財務資助事項進行了展期。
本次財務資助已於2020年7月12日到期，絲維管理公司未能按期歸還。
未能按期歸還的原因：絲維管理公司致力於漿紙領域投資項目的開發，目前正在積極推進公司的芬蘭BorealBioref生物煉化廠(紙漿廠)項目落地，但因項目進度晚於預期計劃，絲維管理公司尚未產生收益。
公司已於2020年6月18日向絲維管理公司發送《提示函》，要求該公司按時還款，並正在與絲維管理公司及該公司其他股東就開展質押絲維管理公司資產、債權轉換為股權等方案進行協商。公司將根據協商情況，結合公司芬蘭BorealBioref生物煉化廠(紙漿廠)項目推進情況，採取包括法律手段在內的措施，督促債務人儘快履行償還義務，維護公司和全體股東的權益。公司一直參與、監督絲維管理公司的運營，密切監控其財務狀況。公司將繼續按照風險控制體系的要求，加強對絲維管理公司的監督管理。
