中芯國際(00981.HK)科創板上市發行價格確定為27.46元/股
格隆匯 7 月 13日丨中芯國際(00981.HK)發佈公告，公司(“發行人”或“公司”)首次公開發行人民幣普通股(A股)並在科創板上市(簡稱“本次發行”)的申請已經上交所科創板股票上市委員會委員審議通過，並已經中國證監會同意註冊(證監許可〔2020〕1278號)。發行人的股票簡稱為“中芯國際”，擴位簡稱為“中芯國際”，股票代碼為“688981”。
發行人與聯席主承銷商根據初步詢價結果，綜合發行人基本面、所處行業及可比公司估值水平等因素，協商確定本次發行價格為27.46元/股。
本次公開發行股份全部為新股，初始發行股票數量為168,562.00萬股，約佔發行後總股本的23.62%(超額配售選擇權行使前)。發行人授予海通證券初始發行規模15%的超額配售選擇權，若超額配售選擇權全額行使，則發行總股數將擴大至193,846.30萬股，約佔發行後總股本26.23%(超額配售選擇權全額行使後)。全部為公開發行新股，公司股東不進行公開發售股份。
本次發行的初始戰略配售的股票總量擬設定為84,281.00萬股，佔初始發行數量的50%，約佔超額配售選擇權全額行使後本次發行總股數的43.48%。戰略投資者承諾的認購資金已於規定時間內全部匯至聯席主承銷商指定的銀行賬户。本次發行最終戰略配售數量為84,281.00萬股，與初始戰略配售數量一致，未向網下進行回撥。
在超額配售選擇權及網上、網下回撥機制啟動後，網下最終發行數量為58,996.70萬股，佔扣除最終戰略配售數量後發行數量的53.85%，佔本次發行總量的30.43%；網上最終發行數量為50,568.60萬股，佔扣除最終戰略配售數量後發行數量的46.15%，佔本次發行總量26.09%。回撥機制啟動後，網上發行最終中籤率為0.21196071%。本次發行的網上網下認購繳款工作已於2020年7月9日(T+2日)結束。
