美爾雅(600107.SH)擬15億元控股大型醫藥連鎖經營企業眾友股份
格隆匯 7 月 10日丨美爾雅(600107.SH)披露發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，此次交易總體方案包括：(1)發行股份及支付現金購買資產；(2)向特定對象發行股份募集配套資金。發行股份及支付現金購買資產和募集配套資金互為前提、互為條件，其中任何一項因任何原因終止或不能實施，則此次交易將終止實施。
上市公司擬以發行股份及支付現金的方式購買交易對方眾友集團、眾合友商貿、匯誠融通持有的眾友股份3.1113億股。截至預案簽署日，眾友股份正在進行增資程序，增資完成後眾友股份總股本將變更為6.2226億股。交易完成後，上市公司將持有眾友股份增資後總股本的50%，眾友股份將成為上市公司的控股子公司。
眾友股份主要從事藥品連鎖零售業務，在甘肅、陝西、青海等十個省、自治區、直轄市擁有超過3000家連鎖藥店，系大型醫藥連鎖經營企業。經過多年發展，眾友股份已成為行業內龍頭企業，連續多年獲得《中國藥店》評選的中國藥店價值榜10強企業、中國藥店直營連鎖10強企業。
根據《購買資產框架協議》，標的資產作價暫定為人民幣15億元，其中現金對價8.5億元、股份對價6.5億元。
現金對價8.5億元中，2億元現金對價自此次交易正式協議生效之日起10個工作日內由上市公司向交易對方支付；3.5億元現金對價在標的資產交割至上市公司名下且上市公司此次募集配套資金到位後30個工作日內向交易對方支付；3億元現金對價分期支付，如標的公司業績承諾期的實際淨利潤高於承諾淨利潤，則上市公司應按約定向交易對方分五次支付剩餘現金對價3億元。
經交易雙方協商，此次購買資產的發行股份價格為7.05元/股，不低於定價基準日前20個交易日股票均價的90%。根據股份對價金額及發股價格測算，此次發行股份購買資產的股份發行數量暫定為9219.8581萬股。
此次交易中，上市公司擬向配套資金認購方上海熾信非公開發行股份募集配套資金。上海熾信繫上市公司實際控制人控制的公司。募集配套資金的用途為支付此次交易現金對價，募集資金總額為4億元，不超過此次交易中發行股份購買資產價格的100%。
截至預案簽署之日，美爾雅集團持有上市公司20.39%股權，為上市公司控股股東；解直錕通過美爾雅集團間接持有上市公司20.39%股權，為上市公司實際控制人。此次交易完成後，解直錕通過美爾雅集團、上海熾信合計持有上市公司的股權比例將由20.39%提升至26.59%，仍為上市公司的實際控制人。
