中國環保科技(00646.HK)擬收購厚朴生物科技51％股權
格隆匯 7 月 10日丨中國環保科技(00646.HK)發佈公告，2020年7月10日，公司全資附屬公司Winsum Investment Limited作為認購人與目標公司訂立認購協議，據此Winsum Investment Limited同意認購目標公司按面值發行的104,081股每股面值1港元的新股，購股份代價為10.41萬港元。完成後，Winsum Investment Limited將擁有目標公司51％的股權
收購前，目標公司厚朴生物科技(香港)有限公司為厚朴生命科技集團控股有限公司的全資附屬公司。目標公司為一間投資控股公司，在中國擁有兩家全資子公司，即厚朴生物細胞庫和泊邁檢測。目標集團在中國的營業執照包括生物細胞儲存庫服務，醫學研究，生物技術測試服務，生物技術和生物技術材料的研發，生物技術諮詢服務，技術的買賣和推廣，保健食品的銷售和生產，銷售化粧品，以及銷售醫療器械和生物技術材料。目標集團除擁有20項與幹細胞和免疫細胞技術相關的專利外，尚未開展任何業務。
公告表示，目標集團擁有20項與幹細胞和免疫細胞技術相關的專利，並在中國持有有關生物細胞技術的各種關鍵業務許可，包括但不限於生物細胞儲存庫，醫學研究，生物技術檢測服務，生物技術研究和開發。生物技術材料以及醫療器械和生物技術材料的銷售。
集團的戰略之一，是以促進幹細胞和免疫細胞技術領域的項目合作，以審慎，嚴謹和專業的態度促進醫療業務的發展，並提高公司的整體形象和股東價值。
董事會認為，通過訂立認購協議，收購事項將使集團首次將醫療業務擴充至幹細胞和免疫細胞技術研發服務和應用領域，並獲得重要的生命醫學技術能力，包括專業的細胞儲存庫服務，細胞檢測服務，促進藥物發現以及其他幹細胞和免疫細胞技術的應用。集團將籍此與其他各方開展醫學實驗室以及生命科學醫療事業的合作。董事會認為，中國及世界其他地區的生物細胞業務前景良好，本次收購將有可能增加集團的收入基礎並鞏固集團在醫療保健領域的地位。
