格隆匯 7 月 9日丨連續4個漲停的振德醫療(603301.SH)提示股票交易風險，股票二級市場漲幅較大風險提示：公司股票於2020年7月6日、7月7日、7月8日連續3個交易日內收盤價格漲幅偏離值累計超過20%,根據《上海證券交易所交易規則》的有關規定,屬於股票交易異常波動情形，7月9日公司股價再次漲停。公司股價自2020年6月24日至今連續10個交易日上漲，累計漲幅已達87.31%，股價剔除大盤和板塊整體因素後的實際波動較大，期間公司主營業務未發生重大變化，敬請廣大投資者注意投資風險。
公司靜態市盈率高於行業水平風險提示：根據中證指數有限公司網站發佈的數據顯示，截至2020年7月8日，醫療器械行業靜態市盈率為74.89，公司靜態市盈率為99.01，公司靜態市盈率指標高於行業水平，敬請廣大投資者注意投資風險。
可轉換公司債券溢價率較高及可能觸發贖回條款風險提示：公司公開發行的可轉換公司債券(債券簡稱“振德轉債”，債券代碼“113555”)於近期累計漲幅較大，截止2020年7月9日收盤價格為761.93元/張，高於面值661.93%。2020年7月9日，公司股票收盤價為85.92元/股，“振德轉債”轉股價為14.01元/股，公司股價較“振德轉債”轉股價溢價513.28%。“振德轉債”價格較面值溢價高於公司股價較“振德轉債”轉股價溢價較多，截至2020年7月9日收盤，當前“振德轉債”價格相對於轉股後價值溢價率達24.24%，存在一定的估值風險。
同時，根據“振德轉債”募集説明書相關規定，在本次發行的可轉換公司債券轉股期內，如果公司股票連續三十個交易日中至少有十五個交易日的收盤價格不低於當期轉股價格的130%(含130%)，公司有權決定按照債券面值加當期應計利息的價格贖回全部或部分未轉股的可轉換公司債券。截至2020年7月9日收盤，公司股票已連續9個交易日收盤價格不低於“振德轉債”當期轉股價的130%，根據“振德轉債”募集説明書相關規定，後續存在觸發贖回條款的可能。敬請廣大投資者注意投資風險。
