偉明環保(603568.SH)：簽署盧龍縣生活垃圾無害化處理及焚燒發電項目特許經營合同
格隆匯 7 月 9日丨偉明環保(603568.SH)公佈，公司於2020年7月8日召開總裁專題會議，同意批准公司投資、建設、運營盧龍項目；同意出資在盧龍縣設立項目公司；批准以不超過1.2億元自有資金投資此項目，項目自有資金投入與投資總額差額部分通過項目公司向商業銀行申請貸款等借款方式解決，並簽署後續融資協議；同意授權項目公司與盧龍縣住房和城鄉建設局簽署特許經營合同等法律文件。
2020年7月8日，公司與盧龍縣住房和城鄉建設局、温州市龍灣區市政工程公司就投資建設盧龍項目簽署《盧龍縣生活垃圾無害化處理及焚燒發電項目特許經營合同》。
盧龍縣生活垃圾無害化處理及焚燒發電項目，規劃總建設規模為600t/d，建設機械爐排爐焚燒生產線，配置一套15MW的汽輪發電機組，一座建設規模200噸/日的滲瀝液處理站。項目估算總投資約3.1億元。該項目採用BOT的合作模式，合作期為30年，其中建設期2年。公司以出讓方式取得項目用地。公司以自有資金不超過1.2億元投資於此項目。
公司擬在盧龍縣新設全資子公司作為具體實施的項目公司盧龍偉明環保能源有限公司，註冊資本：6200萬元，經營範圍：垃圾焚燒發電廠建設、運營、維護；生活垃圾、污泥及一般工業固體廢棄物處理；環保工程的建設；垃圾、煙氣、污水、灰渣處理的相關技術研發及服務；環保設備製造、銷售、安裝、維修。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
盧龍縣生活垃圾無害化處理及焚燒發電特許經營項目範圍和期限：盧龍縣及昌黎縣鄰近盧龍縣的部分所屬城鄉生活垃圾。項目採用BOT(建設-運營-移交)方式運作。規劃總建設規模為600t/d，年處理垃圾量為219000t，建設機械爐排爐焚燒生產線。配置一套15MW的汽輪發電機組，一座建設規模200噸/日的滲瀝液處理站。
此次對外投資、簽署特許合同有助於增加公司固廢處理業務規模，拓展河北省固廢處理市場，提升公司未來營業收入和利潤。此項目的實施，不影響公司業務的獨立性，公司主營業務不會因該項目的實施而產生關聯交易、同業競爭以及業務依賴的情形。此項目實施對公司2020年度經營業績不會產生重大影響，但對公司未來業務發展及經營業績提升產生積極影響。
