卡森國際(00496.HK)附屬訂立土地收回協議 涉資約1.68億元
格隆匯7月8日丨卡森國際(00496.HK)發佈公告,2020年7月8日,公司全資附屬公司海寧漢林訂立土地收回協議,據此,海寧漢林同意歸還,而海寧尖山管理委員會同意收回被收回的土地,總金額約為人民幣1.68億元。
根據披露,被收回的土地包括位於浙江省海寧市尖山新區吉盛路6號總佔地面積約14.48萬平方米的一幅地塊,連同被收回的土地上的建築物。被收回的土地連同被收回的土地上的建築物已經批准作工業用途。根據土地收回協議,海寧漢林同意將被收回的土地歸還予海寧尖山管理委員會。於該公告日期,被收回的土地由海寧漢林持有,並正由集團用作生產軟體傢俱的生產廠房。
根據土地收回協議,海寧漢林應將被收回的土地的土地使用權歸還予海寧尖山管理委員會,並於訂立土地收回協議後安排註銷其名下的土地不動產權登記。
公告表示,集團於2003年購入被收回的土地。為改善生產效率、降低成本及達致資源的更有效利用,集團訂立土地收回協議以向海寧尖山管理委員會歸還被收回的土地。於土地收回完成後,被收回的土地上的原生產廠房將搬遷以實現更為集中的生產。因此,預期土地收回將不會影響集團目前的整體生產效率,同時從長遠而言亦能降低集團的成本,因而被視為屬公平合理。此外,土地收回的所得款項及估計收益可提供額外現金流量及增強集團的營運資金狀況。
