捷利交易寶(08017.HK)與愛保信(中國)合作 將提供場外交易服務、機構暗盤市場交易服務及專業機構投資者服務
格隆匯 7 月 7日丨 捷利交易寶(08017.HK)宣佈，於2020年7月7日，公司的間接全資附屬公司捷利港信與愛保信(中國)訂立合資協議，據此，捷利港信及愛保信(中國)已同意成立附屬公司，其將成為香港附屬公司及中國附屬公司的控股公司，擬主要從事提供香港證券的場外交易服務、機構暗盤市場交易服務及專業機構投資者服務，並須由附屬公司出資、經營及管理。
根據合資協議，附屬公司初始註冊資本為50,000美元，將由捷利港信及愛保信(中國)分別出資25,500美元及24,500美元，相當於附屬公司各自股權的51%及49%。於公告日期，除註冊資本外，捷利港信及愛保信(中國)就附屬公司並無其他承擔。另外，捷利港信有權指派附屬公司董事會的過半成員(三名中的兩名)，而董事會主席須由捷利港信(其有權於任何董事會會議中多投一票)提名。因此，集團預期獲得附屬公司的控制權，而附屬公司業績、資產及負債預期將合併至集團的綜合財務報表。
捷利港信及愛保信(中國)已同意初始業務計劃，以成立香港附屬公司，以待其成功取得根據證券及期貨條例項下第1類(證券交易)及第7類(提供自動化交易服務)受規管活動的牌照後提供香港證券的場外交易服務、機構暗盤市場交易服務及專業機構投資者服務。
愛保信(中國)擁有香港信託、基金等金融牌照，且聚焦為全球上市企業於香港、美國及中國A股的證券提供首次公開發售融資、再融資、併購等資本服務。而聯交所去年再次成為世界最大首次公開發售地點，此已是過去十一年間的第七次。此等成功吸引全球發行人及投資者在聯交所上市，足證聯交所為全球最活躍及蓬勃的資本市場，商機處處。集團納入首次公開發售資訊新特點的開放式證券交易平台軟件交易寶公版已成為投資者獲取香港首次公開發售行情數據的重要工具。基於上述考慮，集團冀希望與愛保信(中國)共同在香港新股市場中獲得更好的發展機會以及共同為上市企業提供服務。
董事會相信，與愛保信(中國)的戰略合作將擴大其業務網路，並使集團進一步探索香港證券市場的場外交易及機構暗盤市場交易服務的潛在新業務，此有利於集團進一步增長及業務發展。
