興民智通(002355.SZ)：關聯交易未按規定履行信息披露義務 收到山東證監局警示函
格隆匯 7 月 7日丨興民智通(002355.SZ)公佈，公司於近日收到中國證券監督管理委員會山東監管局(“山東證監局”)下發的《關於對興民智通(集團)股份有限公司和高赫男採取出具警示函措施的決定》([2020]18號)，現將《警示函》具體內容公告如下：
前期，我局對你公司進行了現場檢查。經查，2018年下半年，公司與王志成(2011年10月至2019年1月為公司控股股東、實際控制人)之間發生關聯交易，共計1億元，但未按規定履行信息披露義務。
公司上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條的規定。高赫男作為時任董事長及總經理，違反了《上市公司信息披露管理辦法》(證監會令第40號)第三條、第三十八條的規定。根據《上市公司信息披露管理辦法》(證監會令第40號)第五十八條、第五十九條的規定，現決定對你們採取出具警示函的監管措施，並將相關情況記入證券期貨市場誠信檔案。你們應引以為戒，加強證券相關法律法規的學習，杜絕此類行為再次發生，切實提高信息披露質量。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
公司收到《警示函》後高度重視，及時組織公司控股股東、實際控制人、董事、監事、高級管理人員及相關人員加強對《公司法》、《證券法》、《深圳證券交易所股票上市規則》、《深圳證券交易所上市公司規範運作指引》等法律法規、相關規則進行學習與理解，吸取教訓，杜絕此類事件再次發生。同時也將加強內部控制管理工作，進一步提高信息披露質量，及時地履行信息披露義務，確保信息披露內容真實、準確、完整，切實維護投資者利益，促進公司健康、穩定、持續發展。
