高新發展(000628.SZ)：擬放棄倍智智能股權優先購買權
格隆匯 7 月 7日丨高新發展(000628.SZ)公佈，公司於2020年7月7日召開第八屆董事會第十四次臨時會議審議通過《關於控股子公司倍智智能數據運營有限公司增資暨放棄股權優先購買權等相關事宜關聯交易的議案》。
倍智智能數據運營有限公司(倍智智能)系由公司與從事智慧城市業務的上市公司新智認知數字科技股份有限公司子公司新智認知數據運營有限公司於2019年8月註冊合資設立的控股子公司。
公司控股股東成都高新投資集團有限公司全資子公司成都高新未來科技城發展集團有限公司(未來科技城公司，即成都國際空港新城投資集團有限公司，已於近日更名為成都高新未來科技城發展集團有限公司)以0對價受讓新智認知持有的未實繳出資股權690萬元(對應占倍智智能註冊成立時的股權比例11.5%)，即由未來科技城公司履行對倍智智能690萬元的實繳出資義務。
同意全資子公司成都倍特建設開發有限公司(倍特開發)放棄優先購買權，同意子公司成都倍盈股權投資基金管理有限公司(倍盈投資)和成都倍特投資有限責任公司(倍特投資)在公司與上海蓉贏企業管理合夥企業(有限合夥)共同控制的合營企業成都倍贏智慧城市投資合夥企業(有限合夥)的相關決策中，作出放棄此次倍智智能股權轉讓優先購買權的表決。
倍特開發與公司控股股東成都高新投資集團有限公司全資子公司成都高投建設開發有限公司(高投建設)以現金按每股1元的價格分別對倍智智能增資747.50萬元、690萬元，增資後倍智智能註冊資本變為7437.5萬元。同意子公司倍盈投資和倍特投資在成都倍贏智慧城市投資合夥企業(有限合夥)的相關決策中，作出放棄倍智智能此次增資優先認繳出資權利的表決。增資資金用於倍智智能業務發展所需。
經過此次交易，公司通過倍特開發和成都倍贏智慧城市投資合夥企業(有限合夥)合計仍享有倍智智能52%的權益，並結合仍佔董事會多數等治理結構安排，公司仍控股倍智智能，此次交易不導致公司合併報表範圍發生變化。
