完美世界(002624.SZ)：東富鋭進持股5% 為公司第三大股東
格隆匯 7 月 7日丨完美世界(002624.SZ)公佈，2020年6月12日，公司控股股東完美世界控股集團有限公司(“完美控股”)與北京東富鋭進投資管理中心(有限合夥)(“東富鋭進”)簽署了《股份轉讓協議》，完美控股擬以協議轉讓的方式向東富鋭進轉讓其所持的佔完美世界總股本5%的股份，對應完美世界無限售流通股6466.3867萬股。
依照《股份轉讓協議》的約定，若協議簽署日至股份過户至東富鋭進名下期間內完美世界發生除權或股權激勵行權等事項，轉讓價款總額不變，轉讓數量相應調整，以保持約定的股份轉讓比例不變。完美世界在上述期間內發生股權激勵行權事項，總股本合計增加1300股，此次協議轉讓股份數量相應調整為6466.3932萬股。
公司收到完美控股通知，其已收到中國證券登記結算有限責任公司深圳分公司出具的《證券過户登記確認書》，此次協議轉讓的過户登記手續已辦理完畢，過户日期為2020年7月6日。
此次協議轉讓過户完成前，完美控股持有公司股份392,197,498股，佔公司總股本的30.33%。此次協議轉讓過户完成後，完美控股持有公司股份327,533,566股，佔公司總股本的25.33%，仍為公司控股股東。完美控股及其一致行動人合計持有公司股份457,283,203股，佔公司總股本的35.36%。此次協議轉讓不會導致公司控股股東、實際控制人發生變更。
此次協議轉讓過户完成後，東富鋭進持有公司股份6466.3932萬股，佔公司總股本的5%，為公司第三大股東。
東富鋭進承諾此次協議轉讓完成後6個月內不減持其持有的完美世界股份。完美控股承諾本次協議轉讓完成後，繼續嚴格履行《證券法》、《上市公司股東、董監高減持股份的若干規定》和《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等法律法規關於股份變動的相關規定。
