時富投資(01049.HK)：餘下9.65億股未認購股份將受限於未認購安排及後啟動回撥機制
格隆匯 7 月 2日丨時富投資(01049.HK)宣佈，於2020年6月30日(星期二)下午四時正(即申請最後時限)，已接獲合共52份有效申請，涉及合共6.98億股發售股份(包括控股股東及與任何控股股東一致行動之人士所認購總計5.73億股發售股份，即合計(i)控股股東根據承諾所認購的最多5.72億股發售股份，(ii)樑兆邦(公司董事)認購的50.19萬股發售股份，(iii)關百良及陳少飛(其他與控股股東一致行動之人士)所認購的12.96萬股發售股份)，佔公開發售項下可供認購的發售股份總數約41.96%。餘下9.65億股未認購股份，佔公開發售項下可供認購的發售股份總數約58.04%，將受限於未認購安排及後啟動回撥機制。
由於公開發售並未獲合資格股東悉數認購，因此誠如發售章程所載的未認購安排及後回撥機制將啟動。
根據上市規則第7.26A(1)(b)條，公司已作出安排沽售9.65億股未認購股份。根據公司與配售代理訂立的配售協議，配售代理將根據配售協議的條款以公司代理人的身份及按盡力的基準，向承配人以配售價配售未認購股份。配售代理將按盡力基準於配售期間(由2020年7月3日(星期五)至2020年七月六日(星期一)下午四時正)促使配股前屬獨立第三方的承配人(或視情況而定，其最終實益擁有人)承購所有(或儘可能多的)該等未認購股份。
公司將不會發行任何根據未認購安排未能成功配售的未認購股份。將予發行的發售股份數目取決於承配人根據未認購安排所認購的未認購股份的數目及後啟動回撥機制(據此，控股股東將認購的發售股份總數將由最多5.72億股發售股份縮減至一定水平，以確保控股股東於公開發售完成時所持股份總數為經配發及發行發售股份擴大的公司已發行股本的49.78%)。公司將根據發售章程所載的公開發售時間表於2020年7月7日(星期二)公佈公開發售的結果(包括配售未認購股份及後啟動回購機制的結果)。
