寧波華翔(002048.SZ)擬放棄控股子公司“寧波詩蘭姆”股權轉讓優先購買權
格隆匯 7 月 1日丨寧波華翔(002048.SZ)公佈，寧波詩蘭姆汽車零部件有限公司(“寧波詩蘭姆”)為公司持股50%的控股子公司，另50%的出資方為Schlemmer GmbH(“德國詩蘭姆”)。由於經營不善，德國詩蘭姆已向德國當地法院申請破產，破產管理人主導其資產出售及清算工作，此次交易為打包出售，資產範圍包括寧波詩蘭姆50%股權(“標的”)、印度詩蘭姆99%股權、日本詩蘭姆99.5%股權、韓國詩蘭姆100%股權和新加坡詩蘭姆10%股權(“海外詩蘭姆”)(寧波詩蘭姆持有新加坡詩蘭姆另90%股權，因此此次交易“新加坡詩蘭姆”股比實際為55%)。
基於看好寧波詩蘭姆未來良好的發展前景，為保證其經營的穩定，公司原計劃購買標的，但考慮此次標的出售方案為打包出售，需要同時購買海外詩蘭姆，因公司自2015年開始海外虧損一直對整體業績造成拖累，同時海外詩蘭姆多為經營不佳的企業，歷年來存在經營虧損的情況，當下新冠疫情下，虧損大概率加劇，具有較大的風險敞口，為保證上市公司經營業績的相對穩定，集中精力加快完成德國華翔重組、扭虧工作，避免新增海外業務帶來的虧損加大的風險，同時鎖定具備戰略意義的標的，避免商業機會旁落，經公司2020年7月1日召開的第七屆董事會第五次會議審議通過《關於放棄控股子公司“寧波詩蘭姆”股權轉讓優先購買權暨關聯交易的議案》，同意上市公司放棄此次股權轉讓標的的優先購買權，改由公司實控人控制的企業——Fengmei Singapore Pte. Ltd.(“新加坡峯梅”)出資5613.6萬歐元收購標的和海外詩蘭姆，並由公司與新加坡峯梅簽訂《股東協議》明確上市公司在寧波詩蘭姆的控股地位。關聯董事周曉峯先生迴避了此次表決。
新加坡峯梅與上市公司簽訂的《股東協議》約定了交易完成後，新加坡峯梅在持有寧波詩蘭姆和海外詩蘭姆股權期間，不謀求企業的經營權、控制權，不改變寧波詩蘭姆其作為上市公司合併報表範圍內，控股子公司的地位。因此，此次放棄優先購買權的行為不會影響公司對寧波詩蘭姆的持股比例及控股地位，對公司經營及財務狀況也不會造成影響。
