濱江集團(002244.SZ):與融創產城、金昌啟亞合作開發杭州拱墅區住宅、商業商務用地
格隆匯 6 月 30日丨濱江集團(002244.SZ)公佈,2020年6月30日,為發揮各自優勢,公司(“乙方”)與浙江融創產城集團有限公司(“融創產城”或“甲方”)、浙江金昌啟亞控股有限公司(“金昌啟亞”或“丙方”)簽訂《杭政儲出[2020]41號地塊合作框架協議》。
甲方全資子公司杭州融惠企業管理有限公司(“目標公司”)已於2020年6月23日競得杭政儲出[2020]41號地塊之國有建設用地使用權,並擬設立一家全資子公司(“項目公司”)作為目標地塊唯一開發建設主體。
根據合作協議約定,乙丙方將通過股權受讓方式分別取得甲方所持目標公司37%和25%的股權,股權轉讓完成後,甲乙丙三方將分別持有目標公司38%、37%和25%的股權,並通過目標公司間接共同持有項目公司的股權,各方將按約定股權比例共同開發目標地塊,對目標地塊共同投資、共享收益、共擔風險。
地塊名稱為杭政儲出[2020]41號地塊,該地塊項目位於杭州市拱墅區,東至莫干山路,南至物美大賣場,西至慶隆小河單元GS0304-B1/B2/M1-16地塊,北至登雲路。土地面積為48365㎡,出讓建築面積120912.5㎡,規劃用途為住宅、商業商務用地。
此次交易完成後,公司將增加土地儲備計容建築面積120912.5平方米,通過併購方式獲取項目,進一步增加土地儲備,有利於增強公司的可持續發展能力。公司與合作方將本着同股同投、共同投資、共擔風險、共享收益的原則,合作開發杭政儲出[2020]41號地塊項目,力爭實現項目利益最大化。
