格力地產(600185.SH)：珠海玖思要約收購結果已確認 7月1日復牌
格隆匯 6 月 30日丨格力地產(600185.SH)公佈，格力地產股份有限公司(以下簡稱“格力地產”、“上市公司”或“公司”)於2020年5月23日公告了《格力地產股份有限公司要約收購報告書摘要》及《格力地產股份有限公司要約收購報告書》；於2020年5月26日公告了《格力地產股份有限公司要約收購報告書摘要(修訂稿)》及《格力地產股份有限公司要約收購報告書(修訂稿)》。珠海玖思投資有限公司(以下簡稱“玖思投資”或“收購人”)向格力地產除控股股東珠海投資控股有限公司(以下簡稱“海投公司”)以外的其他股東發出部分要約收購，要約收購股份數量為183,206,000股，佔格力地產發行股份總數的8.89%，要約價格為6.50元/股。要約收購期限自2020年5月27日起至2020年6月29日止。目前，要約收購期限已經屆滿，現將本次要約收購結果公告如下：
截至2020年6月29日，本次要約收購期限屆滿。根據中國證券登記結算有限責任公司上海分公司提供的數據統計，在2020年5月27日至2020年6月29日要約收購期間，最終有14個賬户、共計43,800股股份接受收購人發出的要約。最終預受要約股份的數量少於收購人預定收購數量，玖思投資將按照收購要約約定的條件購買被股東預受的股份，過户手續將根據相關規定辦理。根據《公司法》的規定，本次要約收購完成後，格力地產的股權分佈仍符合上市條件，上市地位不受影響。
本次要約收購完成後，公司控股股東珠海投資控股有限公司及其一致行動人珠海玖思投資有限公司合計持有公司股份數量為847,383,580股，佔格力地產全部已發行股份總數的41.11%。珠海投資控股有限公司仍為公司控股股東。
本次要約收購期限屆滿後，鑑於要約收購結果需進一步確認，公司股票於2020年6月30日停牌一天。現要約收購結果已確認，經公司申請，公司股票自2020年7月1日開市起復牌。
