格隆匯 6 月 29日丨金盾股份(300411.SZ)公佈，公司於近日收到中國證監會浙江監管局下發的《監管關注函》(浙證監公司字[2020]60號)，內容如下：
浙江金盾風機股份有限公司：
根據你公司收購杭州中宜投資管理有限公司(“中宜投資”)和杭州紅將投資管理有限公司(“紅將投資”)持有的浙江紅相科技股份有限公司(“紅相科技”)股權時簽訂的《發行股份及支付現金購買資產之盈利補償協議》，中宜投資、紅將投資共同承諾紅相科技2016年度、2017年度、2018年度和2019年度實現的扣除非經常性損益後歸屬母公司股東的淨利潤分別不低於5000萬元、7500萬元、9375萬元和1.172億元。2016年度、2017年度、2018年度和2019年度紅相科技經審計的扣除非經常性損益後歸屬於母公司股東的淨利潤分別為5164.68萬元、7512.66萬元、5397.41萬元和306.77萬元，未完成業績承諾。截至目前，你公司尚未公告業績承諾補償款具體金額及方案，也未收到業績補償款。
根據《上市公司監管指引第4號一一上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》的相關規定，現要求你公司及時公告上述業績補償款金額及補償方案，並積極釆取措施，督促中宜投資、紅將投資儘快履行業績補償義務，切實保障你公司與投資者的合法權益。同時，請你公司在收到本監管關注函之日起2個工作日內予以公告，並在7個工作日內向我局提交書面報告，説明目前已釆取的措施及未來的具體計劃。請獨立財務顧問在本監管關注函下發之日起7個工作日內向我局提交書面報告，説明目前已釆取的措施及未來的工作方案。
為切實保障公司與廣大投資者的合法權益，公司將通過合法途徑，持續與中宜投資、紅將投資進行溝通聯繫，要求中宜投資、紅將投資儘快履行業績補償義務。公司將根據事件的進展情況及時履行信息披露義務。
