哈投股份(600864.SH)擬轉讓5台燃氣調峯鍋爐予住宅新區
格隆匯 6 月 29日丨哈投股份(600864.SH)公佈，公司召開第九屆董事會第二十三次臨時會議，審議通過了《關於公司熱電廠轉讓燃氣調峯鍋爐暨關聯交易的議案》。
為優化資源配置，理順資產運營管理關係，降低公司運營成本，公司擬將位於遼河、紅旗示範、先鋒298、紅旗新區等四小區內的5台燃氣調峯鍋爐轉讓給哈爾濱住宅新區供熱物業有限責任公司(“住宅新區”),此次資產轉讓價格為公司建設5台燃氣鍋爐的實際投資額約3627.14萬元。
2019年，為滿足公司規劃區域內的供熱需求，保障極寒天氣時調峯供熱需要及供熱安全，同時也響應國家清潔能源供暖政策要求，經公司第九屆董事會第十四次臨時會議審議批准，公司在規劃供熱區域內建設了5台燃氣鍋爐作為調峯熱源。項目計劃總投資4595.66萬元，實際完成投資3627.14萬元，共分別建設了1×21MW、1×29MW、1×29MW、2×21MW5台燃氣鍋爐。新建鍋爐設備由公司熱電廠負責運營。
2020年，市政府對供熱板塊進行整合，供熱區域重新調整，相關規劃供熱區域不再歸屬我公司供熱範圍，5台燃氣調峯鍋爐對本公司熱網的調峯作用以及對公司供熱系統整體運行的安全性和穩定性的保障作用不再存在。為優化資源配置，理順該資產的經營管理關係，降低公司運營成本，公司擬將5台燃氣鍋爐轉讓給該規劃區域供熱單位住宅新區。此次資產轉讓價格為公司建設5台燃氣鍋爐的實際投資額約3627.14萬元，投資額根據設備採購合同價款和施工費用經審計後的結算造價。交易對方承諾以熱費及政府補貼資金支付燃氣鍋爐轉讓價款。
此次資產轉讓主要是為了優化資源配置，理順資產運營和管理關係，降低公司經營成本，有利於公司經濟效益的提高。交易價格為相關資產的原始投資額，不會損害公司或中小投資者利益，對公司獨立性無影響，對公司財務狀況和經營成果有積極影響。
住宅新區為公司控股股東哈爾濱投資集團有限責任公司之全資子公司哈爾濱物業供熱集團之全資子公司，符合上海證券交易所《股票上市規則》規定的關聯關係情形，公司與住宅新區的上述交易構成關聯交易。
