赤峯黃金(600988.SH)擬掛牌轉讓雄風環保100%股權
格隆匯 6 月 29日丨赤峯黃金(600988.SH)公佈，為貫徹“以金為主”的發展戰略，本着“透明、公開、公正”的原則，公司擬在北京產權交易所公開掛牌轉讓持有的郴州雄風環保科技有限公司(“雄風環保”)100%的股權。
公司以雄風環保評估價值為依據，確定雄風環保100%的股權在北京產權交易所掛牌轉讓底價為人民幣約15.99億元。由於此次交易方式為公開掛牌轉讓，受讓方和最終交易價格存在不確定性。公司將根據進展情況及時履行信息披露義務。
雄風環保為公司全資子公司，註冊資本人民幣8.2289億元，位於湖南省永興縣，主營業務為從有色金屬冶煉廢渣等物料中綜合回收銀、鉍、鉛、金、鈀等多種金屬，屬國民經濟行業分類中的廢棄資源綜合利用業。雄風環保擁有《危險廢物經營許可證》，目前處理能力13萬噸/年。
公司於2019年12月21日召開的第七屆董事會第17次會議審議通過了《關於2022年末前公司發展目標的議案》，2020年2月27日召開的2020年第一次臨時股東大會審議通過了《關於修訂公司章程的議案》，將“專注黃金的開採與冶煉、聚集海內外優質黃金礦山資源，做專注、專業的黃金礦業公司”確定為公司的發展戰略和經營宗旨。公司將聚焦所有的精力和資源，把黃金礦山產業深挖吃透，並通過紮實的技術創新和管理創新引領產業升級。公司剝離非礦資產，發展戰略進一步清晰、明確，可集中內部資源發展黃金礦業主業，符合公司長遠發展規劃。雄風環保屬於有色金屬資源綜合回收利用業務，與公司“做專注、專業的黃金礦業公司”發展戰略不符。
當前公司正處於資本投入密集期，此次交易完成後預計可回籠資金約24億元，公司可將回籠資金投入黃金礦山的技術升級改造、探礦增儲和產業併購等方面，有效降低資本投入的資金成本，為實現戰略規劃目標提供有力的資金保障。
雄風環保主要從事有色金屬資源綜合回收利用業務，屬資金密集型企業，採購原材料需佔用大量資金，業務性質決定了其存貨金額較大。此次出售雄風環保股權，有利於優化公司資產結構，顯著提高資金週轉能力；同時將明顯降低公司資產負債率，回籠現金，優化債務結構。由於出售的有色金屬綜合回收利用業務有一定盈利能力，出售該部分業務會影響公司的短期盈利。但公司黃金礦山業務的盈利能力較強，此次交易不會對公司業績產生重大影響。
