重慶百貨(600729.SH)擬6.56億元收購步步高集團兩家子公司
格隆匯6月29日丨重慶百貨(600729.SH)公佈，為徹底解決公司與步步高投資集團股份有限公司(簡稱“步步高集團”)在重慶地區的同業競爭、減少關聯交易，公司擬以現金方式向步步高集團收購重慶市合川區步步高寶川置業有限責任公司(簡稱“寶川置業”)和重慶步步高中煌商業管理有限公司(簡稱“步步高中煌”)各100%股權。交易價格分別為6.43億元和1309.14萬元，合計6.56億元。
因設立“招商創融-海富通-步步高資產支持專項計劃”(簡稱“資產支持專項計劃”)融資需要，2018年1月步步高集團的全資子公司步步高置業有限公司(簡稱“步步高置業”)將寶川置業100%股權轉讓給深圳前海兩型股權投資基金管理有限公司(簡稱“前海投資”)，步步高集團作為原始權益人繼續負責寶川置業的運營管理。此外，寶川置業將其合法所有的位於重慶市合川區合陽辦合陽大道2號的“步步高置業·合川新天地項目”和該項目商業街區物業(簡稱“重慶合川步步高廣場項目物業資產”)及其附屬土地的土地使用權抵押給資產支持專項計劃管理人上海富誠海富通資產管理有限公司(簡稱“海富通”)，並將重慶合川步步高廣場項目物業資產對外出租產生的租金收入債權以及與此相關的權益質押給海富通。步步高集團承諾待公司董事會、股東大會審議通過本次關聯交易後，將完成收購寶川置業100%股權和解除給海富通的資產抵押、權益質押等工作，然後再將寶川置業100%股權交割給公司。上述步步高集團收購寶川置業100%股權和解除抵押、質押等工作存在不確定性。
步步高集團分別與寶川置業和步步高中煌簽署《債權債務承接協議》，承接寶川置業和步步高中煌截至評估基準日的部分債權債務，能否取得對應的債權人同意存在不確定性。
除部分合同轉讓手續正在辦理外，步步高商業連鎖股份有限公司(簡稱“步步高股份”)因重慶合川步步高廣場項目經營管理與商家簽署的租賃合同的權利義務已概括轉讓至重慶合川步步高商業有限責任公司(簡稱“合川步步高”)，上述所有合同將於股權交割日前一日終止，步步高集團承諾確保步步高中煌以不低於步步高股份與商家簽署的租賃合同內容、條件與商家重新簽署租賃合同，能否取得商家同意存在不確定性。
