百利保控股(00617.HK)及富豪酒店(00078.HK)同意向百富控股集團提供額外財務資助高達7億美元
格隆匯 6 月 28日丨世紀城市國際(00355.HK)、百利保控股(00617.HK)、富豪酒店(00078.HK)及四海國際(00120.HK)聯合公佈，2020年6月26日，Capital Merit(百利保的全資附屬公司)及RHIL(富豪的全資附屬公司)訂立融資協議，據此，百利保集團及富豪集團各自同意向百富控股集團(百利保集團及富豪集團各自擁有50%權益的合營公司)提供建議額外財務資助。建議額外財務資助總金額高達7億美元(相等於約港幣54.6億元)，並將由百利保集團及富豪集團按彼等各自於百富控股的股權比例各提供最高金額3.5億美元(相等於約港幣27.3億元)。
世紀城市透過其全資附屬公司持有百利保已發行股本約62.3%，而百利保透過其全資附屬公司持有富豪已發行股本約66.6%。因此，百富控股為世紀城市及百利保的附屬公司，根據上市規則第14.04(1)(e)(ii)條，百利保集團提供建議額外財務資助不會被視作世紀城市及百利保的交易。百富控股為富豪持有50%的合營公司，而有關將由富豪集團提供的建議額外財務資助的若干適用百分比率(定義見上市規則)超過25%(但全部少於100%)；因此，根據上市規則第十四章，提供上述資金構成富豪的一項主要交易，並須遵守股東批准規定。由於百利保集團於百富控股中擁有權益，羅旭瑞、世紀城市、百利保、四海及彼等各自的聯繫人將於富豪股東特別大會上就建議額外財務資助所提呈的相關決議案放棄投票。
另外，世紀城市、百利保、富豪及四海的董事亦謹此宣佈，2020年6月26日，百富控股集團行使其於四海集團於2014年發行的可換股債券項下的換股權利，因此約14.29億股四海股份將予發行予百富控股集團。
同日，百富控股議決以股息的方式將合共約10.67億股四海股份分配予其股東。緊隨發行換股股份及完成有關分配後，百利保集團將持有約5.33億股四海股份(佔四海全部已發行普通股約9.1%)，富豪集團將持有約10.65億股四海股份(佔四海全部已發行普通股約18.1%)，而百富控股集團將持有約25.96億股四海股份(佔四海全部已發行普通股約44.1%)。
