雅居樂集團(03383.HK)擬分拆雅居樂雅城集團於港交所主板上市
格隆匯 6 月 24日丨雅居樂集團(03383.HK)公告,公司建議分拆公司附屬公司雅城的股份在聯交所主板獨立上市。雅城股份於聯交所主板獨立上市構成公司根據第15項應用指引分拆雅城。聯交所已確認公司可進行建議分拆。
於2020年6月24日,雅城就申請雅城股份於聯交所主板上市及獲准買賣,向聯交所遞交上市申請表格(A1表格)。按照計劃,雅城將就上市進行其新股份發售。
按照計劃,在若干條件限制下,合資格股東將於根據建議分拆進行的股份發售中獲提供雅城股份的保證配額。有關保證配額的詳情尚未落實,而公司將於適當時候就此刊發進一步公告。待建議分拆及上市完成後,公司預期將擁有雅城不少於50%權益,而雅城將仍然為公司的附屬公司。
分拆集團主要從事提供(i)綠色生態景觀服務,以及(ii)智慧裝飾家居服務。公司認為,進行建議分拆在商業上乃屬權宜舉並符合公司股東的利益,原因為建議分拆預期將為公司及其股東整體創造更高價值,理由如下:
(a)通過建議分拆,公司及其股東有機會為其於分拆集團的投資界定市值。
(b)通過建議分拆,分拆集團可建立其獨立上市集團的身份,並擁有獨立的集資平台獲取公眾及私募資金。通過建議分拆,分拆集團可直接接觸資市場進行股及債務融資,以為其現有業務及未來擴充提供資金,從而可加速拓展及改善分拆集團的營運及財務表現,繼而將有助於保留集團及分拆集團的股東達到優厚的財務回報。
(c)作為獨立上市集團,分拆集團將能夠進一步鞏固其聲譽、在商議及招攬更多業務方面享有更大優勢,包括作為一個平台為公司以外的物業開發商提供服務,而公司繼而將能夠通過其於雅城的持股從分拆集團的增長中受益;(d)通過建議分拆,分拆集團可提升其企業形象及擴大其投資者基礎,包括增強吸引戰略投資者的能力,而戰略投資者可為分拆集團提供協同效益,進行投資並直接與分拆集團組成戰略伙伴。具體而言,獨立上市可讓投資者以獨立及區別於保留集團業務的觀點,評價及評估分拆集團的價值和營運表現。
(e)通過建議分拆,保留集團和分拆集團能夠基於其不同的成架構及業務模式,更專注彼等各自業務的發展、戰略規劃及優化資源分配。保留集團和分拆集團均將從獨立管理架構下的更高效決策流程中獲益,從而把握新興商機,尤其是分拆集團擁有一支專屬管理團隊,可專注於其發展。
