天海防務(300008.SZ)：簽訂重整投資框架協議 確定隆海投資和上海丁果為重整投資人
格隆匯 6 月 24日丨天海防務(300008.SZ)公佈，自公司進入重整程序以來，公司在管理人監督下公開發布意向投資者招募公告，與意向投資人就重整投資方案進行多輪溝通、協商。現結合公司實際情況，通過市場化比較，最終確定廈門隆海投資管理有限公司(“隆海投資”)和上海丁果企業發展有限公司(“上海丁果”)作為重整投資人，對公司進行重整。2020年6月23日，公司、管理人、隆海投資、上海丁果簽署《對天海融合防務裝備技術股份有限公司重整投資之框架協議》。
此次重整投資框架協議的簽訂是公司重整程序的重要環節，公司將在管理人的監督下根據重整投資框架協議、公司實際情況及與重整投資人、債權人、出資人的溝通情況製作重整計劃草案並提交法院及債權人會議，法院將召開債權人會議和出資人組會議對重整計劃草案進行表決。如果公司順利實施重整並執行完畢重整計劃，將有助於改善公司財務結構，化解債務危機，主營業務重新走上健康發展的軌道。

1、公司存在因重整失敗而被法院宣告破產的風險
公司存在因重整失敗而被宣告破產的風險，包括但不限於以下情形：法院受理重整申請並指定管理人後，如果管理人或者公司未能在法定期限內向法院和債權人會議提交重整計劃草案，或者重整計劃草案未能獲得債權人會議通過且未能獲得法院批准，或者重整計劃草案雖獲得了債權人會議通過但未能獲得法院批准，或者重整計劃未獲得法院批准，法院有權裁定終止重整程序，宣告公司破產；或者重整計劃雖獲得法院批准但未能得到執行，法院有權裁定終止重整計劃的執行，宣告公司破產。
2、公司股票存在終止上市的風險
法院已裁定公司進入重整程序，如果公司順利實施重整並執行完畢重整計劃，將有助於改善公司財務結構，化解債務危機，主營業務重新走上健康發展的軌道。若重整失敗，公司將存在被宣告破產的風險。如果公司被宣告破產，根據《深圳證券交易所創業板股票上市規則(2018年11月修訂)》及《關於發佈<深圳證券交易所創業板股票上市規則(2020年修訂)>的通知》的規定，公司股票將被實施停牌並面臨被終止上市的風險。
