愛建集團(600643.SH)：華瑞租賃(香港)擬減資至1580萬美元
格隆匯6月24日丨愛建集團(600643.SH)公佈，華瑞租賃於2016年2月在香港註冊設立了全資子公司“上海華瑞(香港)投資有限公司”，境外投資金額為3709.98萬美元。上述投資金額擬用於購買一架波音737系列飛機的預付款，按照12366.6萬美元的飛機價格以及30%的自有出資比例計算。
為享受較低税收優惠政策，上海華瑞(香港)投資有限公司於2020年4月6日正式更名為華瑞租賃(香港)有限公司。
該項出資原計劃用於購買波音737系列飛機，由於民航總局針對波音737飛機的停飛通知，導致飛機交付的無限期推遲，於是將項目標的飛機機型調整為一架灣流G450飛機。華瑞租賃於2019年12月19日實際出資1580萬美元到華瑞香港子公司，並於2019年12月24日購買一架灣流G450飛機資產，同時啟動了租賃業務，飛機購買價值即為1580萬美元。另依據中國(上海)自由貿易試驗區管理委員會的要求，由於原申報項目金額的變更，需在原備案金額內實際出資以後，針對原境外投資證書的投資金額作減資的變更備案，同時由於變更金額超過20%，需要提交補充備案材料。因此，現申請將對外投資額由原3709.98萬美元減資至1580萬美元，並報集團公司董事會審議。
公司於2020年6月24日召開第八屆董事會第8次會議，審議通過《關於華瑞租賃全資子公司上海華瑞(香港)投資有限公司減資的議案》，同意：上海華瑞融資租賃有限公司全資子公司上海崋瑞(香港)投資有限公司(現更名為華瑞租賃(香港)有限公司)出資金額由3709.98萬美元減資至1580萬美元；授權公司法定代表人及經營班子，根據法律法規及監管要求，辦理減資相關各項事宜。
華瑞租賃對華瑞香港子公司的對外投資申請已經取得自貿區商委的對外投資備案證書以及發改委的境外投資項目備案審批通過，已實際向華瑞香港子公司出資1580萬美元/等值人民幣，但需要在實際出資以後向上海自貿區和發改委做相關減資備案程序。
