歡瑞世紀(000892.SZ)：睿嘉傳媒及著傑控股將分別持歡瑞聯合70%、30%的合夥份額
格隆匯 6 月 24日丨歡瑞世紀(000892.SZ)公佈，公司於近日收到第一大股東歡瑞聯合(天津)資產管理合夥企業(有限合夥)(“歡瑞聯合”)發出的書面通知，2020年6月18日，公司第一大股東歡瑞聯合，及其包括公司實際控制人鍾君豔和陳援在內的、分別持有歡瑞聯合相關合夥份額的全部18名合夥人(合稱“轉讓方”)，與睿嘉傳媒(天津)有限公司(“睿嘉傳媒”)、寧波著傑控股有限公司(“著傑控股”，與睿嘉傳媒合稱“受讓方”)簽署《歡瑞聯合(天津)資產管理合夥企業(有限合夥)之合夥份額轉讓協議》，《份額轉讓協議》主要約定：轉讓方將各自持有的歡瑞聯合相關出資額、合計93060.22萬元(佔歡瑞聯合出資總額的100%，簡稱“標的份額”)，轉讓給受讓方；轉讓實施後，睿嘉傳媒將成為歡瑞聯合的普通合夥人及執行事務合夥人，持有歡瑞聯合70%的合夥份額，著傑控股將成為歡瑞聯合的有限合夥人，持有歡瑞聯合30%的合夥份額(前述行為，簡稱“本次交易”)。
2017年1月19日，歡瑞聯合簽署《股票質押式回購交易業務協議》將其持有的公司105,504,587股(佔其直接所持公司股份的98.92%，佔公司總股本的10.76%)進行股票質押式回購融資，融資金額6.1億元，期限三年。截至此次交易前，歡瑞聯合回購逾期，債務沉重、無力自行解決；上市公司實際控制人所持公司股份質押率高達98.50%，已無力解決歡瑞聯合上述債務問題。
鑑於此並經有關各方友好協商，此次交易的定價和對價採取受讓方承債方式，即：自目標份額過户完成日起(含當日)，受讓方將根據《中華人民共和國合夥企業法》和歡瑞聯合在工商登記部門備案的《歡瑞聯合(天津)資產管理合夥企業(有限合夥)合夥協議(2020版)》等法律法規規定和協議約定的方式對歡瑞聯合在此次交易前債務承擔責任。
此次交易後，受讓方作為合夥人將全力支持、協助和督促歡瑞聯合與相關資金融出方積極協商，通過多種方式推進債務紓解方案，化解歡瑞聯合所持上市公司股份被凍結和強制平倉的風險。
截至公告披露日，歡瑞聯合為公司第一大股東，直接持有公司106,651,376股股份，佔股本總額的10.87%。此次交易為第一大股東的合夥人轉讓合夥份額的交易行為。此次交易後，公司實際控制人鍾君豔和陳援及其一致行動人通過直接或間接方式控制的公司股份及股份比例將相應減少，但仍直接和間接持有公司183,163,897股股份，佔股本總額的18.67%。此次交易不涉及公司實際控制人變化。
此次交易已向天津市濱海新區市場監督管理局提交標的份額過户和合夥人變更有關的工商變更登記申請材料並已完成工商變更。
