吉林森工(600189.SH)更正業績預告：2019年度預虧14.8億元左右
格隆匯 6 月 23日丨吉林森工(600189.SH)發佈2019年度業績預告更正公告，公司於2020年1月21日披露了2019年年度業績預虧公告，經財務部門初步測算，預計2019年年度實現歸屬於上市公司股東的淨利潤與上年同期相比，將出現虧損，實現歸屬於上市公司股東的淨利潤為-3.3億元至-3.9億元；歸屬於上市公司股東扣除非經常性損益後的淨利潤為-4.3億元至-4.9億元。
更正後的業績預告情況，經財務部門再次測算，預計2019年年度經營業績將出現虧損，預計實現歸屬於上市公司股東的淨利潤為-14.8億元左右；歸屬於上市公司股東扣除非經常性損益後的淨利潤為-15.6億元左右。
(一)業績預告更正原因，1、公司控股股東中國吉林森林工業集團有限責任公司(“森工集團”)於2020年5月18日收到長春市中級人民法院送達的(2020)吉01破申45號《民事裁定書》及(2020)吉01破申45號《決定書》。根據上述《民事裁定書》、《決定書》，長春中院裁定受理大連三林木業有限公司提出的對森工集團進行司法重整的申請。控股股東進入司法重整導致公司聯營企業對森工集團的大額債權未來可回收性存在重大風險，聯營企業根據《企業會計準則第22號—金融工具確認和計量》計提大額壞賬準備。
根據中審眾環會計師事務所(特殊普通合夥)吉林分所對聯營企業出具的審計報告，上述事項導致吉林森工人造板集團有限責任公司等聯營企業當期資產減值損失32.2億元。
2、聯營企業年審會計師在審計過程中發現部分位於疫情嚴重區域的聯營企業資產受2019年發佈的國家天然林保護修復政策影響，出現減值跡象，因疫情嚴重無法進行現場確認。聯營企業年審相關中介機構於企業所在地疫情減輕後開展現場工作，對相關資產進行了減值測試，根據減值測試結果計提了資產減值準備。
根據中審眾環會計師事務所(特殊普通合夥)吉林分所對聯營企業出具的審計報告，上述事項導致吉林森工人造板集團有限責任公司等聯營企業當期資產減值損失28.4億元。
3、公司當期對聯營企業相關長期股權投資以權益法確認虧損16.4億元，其業績變動導致公司當期對其確認的投資虧損較前次業績預告增加12億元。
(二)由於新冠疫情嚴重影響公司控股股東中國吉林森林工業集團有限責任公司及其下屬子公司審計工作進程，公司財務部門基於近日收到的聯營企業審計報告、上述重大事項及自身專業判斷進行初步核算。公司本次預計業績未經註冊會計師審計。
