眾興菌業(002772.SZ)：放棄參股子公司債權出資優先收回權利
格隆匯 6 月 23日丨眾興菌業(002772.SZ)公佈，第三屆董事會第三十二次會議審議通過了《關於放棄參股子公司債務優先收回權利的議案》。
公司參股子公司MushroomParkGmbH(馬遜帕克有限公司)的全體股東出資方式為股權+債權，合計股權出資金額為200萬歐元，債權出資金額為2,800萬歐元，其中公司出資額佔49%。因初建成投產，加之疫情影響，目前MushroomParkGmbH公司經營虧損額超過了股本出資額。現MushroomParkGmbH公司擬向德國政府申請一筆金額為105萬歐元的項目補貼款，根據德國有關規定，鑑於MushroomParkGmbH公司目前出現經營虧損額超過股權出資額的現象，需要全體股東放棄債權出資優先收回權利，才有可能獲得這筆補貼。經全體股東商議，同意放棄債權出資優先收回權利，具體情況如下：
①出借人(借給MushroomParkGmbH款項的股東，下同)放棄已借給MushroomParkGmbH的借款之優先收回權利，始終要在MushroomParkGmbH的其他債權人收回所有債務後，有權利收回債務。
②出借人根據債權人順序收回債務時，若要求收回的債務需抵扣MushroomParkGmbH超出資本金的虧損額時，出借人無法要求MushroomParkGmbH償還債務。
③除了企業破產程序以外的情況下，借款的本金、利息和附帶費用的償還要求只能在MushroomParkGmbH有淨收益，(不被債權人抵為擔保的)淨資產或者流動資產，並且其他所有債權人收回債務之後有權要求MushroomParkGmbH償還債務。
④在MushroomParkGmbH解決債務危機之前，出借人無法要求其償還債務。MushroomParkGmbH償還借貸款時要給其他股東同時進行償還。
公司本次放棄參股子公司MushroomParkGmbH債權出資優先收回權利，有利於其順利獲得該筆政府補貼，緩解現金壓力，但不利於該債權出資的快速收回。公司將密切關注相關情況，並將依照相關規定及時履行信息披露義務。敬請廣大投資者理性投資，注意投資風險。
