招商南油(601975.SH)：子公司與CMES TANKER HOLDINGS INC.簽署股權委託管理協議
格隆匯 6 月 23日丨招商南油(601975.SH)公佈，因招商局南京油運股份有限公司(原名中國長江航運集團南京油運股份有限公司，“招商南油”、“長航油運”)重新上市需要，2017年公司實際控制人招商局集團有限公司(“招商局集團”)依據相關規則出具了《關於避免同業競爭的承諾函》：“針對長航油運與招商輪船均擁有或管理AFRA原油船的情況，承諾於2020年6月底前按照合法程序採取有效措施(包括但不限於集團內部業務整合、資產剝離、股權轉讓等)化解可能導致同業競爭的風險。”
2020年3月18日，公司第九屆董事會第十三次會議審議通過了AFRA原油船“白鷺洲”輪處置的議案，授權經營層以不低於評估值對外處置。通過招標，中通誠資產評估事務所對“白鷺洲”輪進行了評估。
自2019年年底以來，公司通過多種渠道積極在市場上出售“白鷺洲”輪，一方面通過船舶中介機構尋找潛在的船舶買家，同時充分利用公司的客户資源，主動尋找合適的船舶買家。先後有多位買家通過中介機構聯繫公司，並有3家委託勘驗公司上船勘驗，公司與部分買家進行了多次洽談。由於受新冠肺炎疫情及油輪市場劇烈波動影響，預計無法在承諾期滿前完成對外處置。
為履行承諾，經與關聯方招商局能源運輸股份有限公司(“招商輪船”)協商，採取股權託管的方式解決上述同業競爭，即公司全資子公司NANJING TANKER CORPORATION (S) PTE.LTD.將所持有的單船公司BAI LU ZHOU MARINE LIMITED(白鷺洲海運有限公司)100%股權委託給招商輪船下屬公司CMES TANKER HOLDINGS INC.管理。2020年6月23日，NANJING TANKER CORPORATION (S) PTE.LTD.與CMES TANKER HOLDINGS INC.簽署了《股權委託管理協議》。
