立思辰(300010.SZ)：子公司中文未來與凹凸教育達成戰略合作
格隆匯 6 月 22日丨立思辰(300010.SZ)公佈，公司之全資子公司中文未來教育科技(北京)有限公司(“中文未來”或“甲方”)於2020年6月22日與北京凹凸教育諮詢有限公司(“凹凸教育”或“乙方”)簽署了《戰略合作協議》。雙方本着平等互利、優勢互補、共贏共享、長期穩定的原則，圍繞直營學校中涉及一對一及小組課(1對8以下)的個性化教育業務開展深入合作，建立戰略合作伙伴關係。雙方達成如下合作條款：
(1)甲、乙方一致同意，充分利用自身優勢互補，甲方將已設立以及未來設立的直營校中一對一及小組課(1對8以下)的個性化教育業務與乙方獨家合作。由甲方提供相關課程及其他個性化教學產品，乙方在經營活動中提供品牌、技術、系統、團隊等全套運營服務，從而為家長提供更加豐富的教學產品，完善雙方產業佈局，達到互利共贏的目的。
(2)甲方將旗下所有直營校的個性化教育業務(包括小組課及一對一)全部與乙方獨家合作，乙方負責全面運營管理，以完善雙方產業佈局。
(3)乙方將自身多年研發的個性化教育產品及成熟的運營管理體系在合作框架範圍內使用其技術及產品內，同時乙方將派駐專業的高級運營管理人員全面在甲方直營體系搭建混合式個性化教育高端學習中心，以完善雙方產業佈局。
(4)甲、乙方承諾，雙方就各自提供的合作內容享有完整知識產權及其他相關權利，且已依法取得就合作內容所需的一切政府批文、行政許可和資質牌照，不存在侵犯任何第三方知識產權及其他合法權利的內容。
(5)甲、乙方承諾，對於因簽署或履行本協議而瞭解或接觸到的對方的商業祕密、技術信息及其他機密資料和信息均應保守祕密。非經對方書面同意，任何一方不得向第三方泄露或轉讓該等保密信息。
公司旗下全資子公司中文未來將一對一及小組課(1對8以下)的個性化教育業務與凹凸教育進行獨家戰略合作，藉助其豐富的個性化教育運營經驗、技術、系統及其成熟的運營團隊對中文未來龐大的生源進行個性化教育服務，彌補自身短板並豐富中文未來的教育產品及培訓模式，完善中文未來的業務模塊及公司對教育產業的佈局，滿足廣大家長對孩子個性化教育需求的同時，進一步提升公司的綜合競爭力，有利於公司的長遠發展。
