中集集团(000039.SZ)：控股子公司中集车辆拟在深交所创业板上市
格隆汇 6 月 22日丨中集集团(000039.SZ)公告，2020年5月6日及2020年5月15日，中国国际海运集装箱(集团)股份有限公司(以下简称“公司”，与其子公司合称“集团”或“中集集团”)之控股子公司中集车辆(集团)股份有限公司(以下简称“中集车辆”)董事会审议同意中集车辆于境内首次公开发行人民币普通股(A股)并在深圳证券交易所(以下简称“深交所”)创业板上市交易(以下简称“本次A股发行”或“A股发行”)，并对外披露了有关A股发行及其他相关议案之补充通函。2020年6月22日，中集车辆年度股东大会及中集车辆类别股东大会审议通过了本次A股发行及其他相关议案。
本次中集车辆A股发行上市方案初步拟定如下：
1、股票种类：境内上市的人民币普通股(A股)。
2、股票面值：每股面值人民币1.00元。
3、发行数量：本次A股发行股票数量不高于发行后中集车辆总股本的15%(包含超额配售选择权)，且不超过31,147万股(含31,147万股)，如中集车辆在A股发行前发生送股、资本公积转增股本等除权事项，则A股发行项下的A股数量将做相应调整。具体发行数量由中集车辆董事会根据中集车辆股东大会、中集车辆H股类别股东大会、中集车辆内资股类别股东大会的授权，按照国家法律法规和监管机构规定的条件及市场情况确定。在法律法规及监管机构许可的前提下，中集车辆与主承销商可采用超额配售选择权。
4、发行价格：发行价格将充分考虑中集车辆现有股东的整体利益，遵循市场化原则，根据A股发行时中国证券市场状况，由中集车辆与主承销商根据向网下投资者询价结果协商定价或中国证监会或深交所认可的其他方式定价(其他定价方式亦须满足中国证监会、深交所等监管机构颁布的届时有效的相关规定)，最终中集车辆与主承销商确定的定价方式及确定的A股发行价格，中集车辆将于A股发行前另行公告。根据《中华人民共和国公司法》，A股的发行价不得低于中集车辆股份的面值，即每股股份人民币1.00元。概无其他法定或监管规定订明发行A股的价格下限。
本次A股发行拟募集资金扣除发行费用预计为人民币20亿，拟用于投资数字化转型及研发项目、升级与新建“灯塔工厂”项目、新营销建设项目，以及偿还银行贷款及补充流动资金。
