新特能源(01799.HK)：新疆新能源對盱眙高傳及其他獨立第三方提起訴訟
格隆匯6月22日丨新特能源(01799.HK)公告，董事會獲新疆新能源告知，其已向江蘇省淮安市中級人民法院對盱眙高傳及其他獨立第三方提起訴訟，並於近日收到淮安中院發出的《受理案件通知書》。
於2017年1月，新疆新能源與盱眙高傳簽訂承包合同，約定由新疆新能源以總承包方式承建該項目。於2017年5月，盱眙高傳與華夏金租簽訂融資租賃合同，針對該項目開展融資租賃業務，租賃本金總額人民幣6億元。華夏金租同時與盱眙高傳及新疆新能源簽訂轉讓協議。
其後因盱眙高傳未及時提供該項目施工的必備批覆文件，該項目因手續不全等原因不具備施工條件而處於停工狀態，而盱眙高傳應向新疆新能源支付的人民幣1.3億元工程款項於向淮安中院提起訴訟之日尚未支付。同時，履行承包合同過程中，由於該項目長期停工，新疆新能源無法按期完全交付風機設備，華夏金租已向北京市第二中級人民法院提起將新疆新能源作為被告之一的訴訟，要求解除轉讓協議，並要求新疆新能源退還設備採購本金人民幣6億元及相應的利息。
於本公告日期，有關糾紛於北京中院提起的訴訟尚未正式開庭審理。縱使新疆新能源認為華夏金租對其的訴訟請求缺乏依據，但若北京中院最終認定新疆新能源需要承擔法律責任，盱眙高傳應賠償由此對新疆新能源造成的全部損失。新疆新能源就上述合同糾紛向淮安中院對盱眙高傳及其他被告提起訴訟，並請求淮安中院確認解除承包合同；盱眙高傳支付人民幣1.3億元工程款項，及相應的逾期付款違約金；盱眙高傳賠償因其違約而對新疆新能源造成的損失，暫定金額為人民幣6億元（具體金額以北京中院判決結果為準）；其他被告對第(ii)及(iii)項訴訟請求承擔連帶保證責任；新疆新能源有權以盱眙高傳抵押資產、質押電費收益所得的款項優先受償；及新疆新能源針對該項目享有工程款項優先受償權。於本公告日期，淮安中院訴訟尚未開始審訊。
