ST凱瑞(002072.SZ)與荊門市政府簽署戰略合作框架協議
格隆匯6月22日丨ST凱瑞(002072.SZ)公佈，公司(乙方)於近日與荊門市人民政府(“荊門市政府”，甲方)簽署了《戰略合作框架協議》，雙方本着“優勢互補、互利互惠、真誠合作、共同發展”的合作原則，正式建立長期穩定的戰略投資合作關係，共同推進荊門市大健康產業升級、推動公司戰略轉型。此次協議內容如下：
1.甲、乙雙方作為戰略合作伙伴，正式建立長期穩定的戰略投資合作關係，共同推進荊門市大健康產業升級、推動公司戰略轉型。
2.甲方支持乙方與荊門當地優質的綠色健康食品企業及其他相關企業開展深度合作。在符合國家相關法律法規和湖北省、荊門市對上市公司支持具體政策框架下，甲方給予乙方財税、用地、產業基金等多方面政策支持。甲、乙雙方在荊門當地合作建設大健康產業生態項目，共同打造荊門市保健型、休閒型食品特色的數字化、專業化食品產業園。
3.為保障此次合作項目順利進行，甲方歡迎並全力支持乙方將公司註冊地址遷至“湖北省荊門市”，並安排荊門市地方金融工作局代表市委、市政府與乙方成立聯合工作組，配合乙方完成遷址、項目併購、資金募集、產業投資等項目落地的具體事宜。
4.根據湖北省政府《關於進一步推進企業上市工作的意見》、荊門市政府《關於進一步推進企業上市掛牌的實施意見》等政策，甲方支持乙方公司未來在荊門開展上市工作並兑現相關獎勵政策。
5.甲方為支持乙方後續產業發展，在平等互利原則下，按照有關法律法規，積極協調銀行業金融機構給予乙方融資方面的全方位支持；在充分尊重乙方意願的基礎上，協調地方國有資本平台投資入股乙方，成為深度融合的戰略合作伙伴。
6.本協議為框架性文件，是對雙方權利義務的原則性約定，雙方需要進行具體合作時，須另行簽訂與合作相對應的合同，並應保證合法合規。本協議約定事項與具體合同不一致的，以具體合同為準。
7.本協議所約定事項具體實施方案尚在甲、乙雙方談判階段，待本協議所約定事項達到審議、披露標準後，由乙方履行相應審批、披露程序。
公司此次與荊門市政府簽署戰略框架協議，將加快公司戰略轉型，增強公司持續經營能力。雙方未來將充分發揮雙方在人才資源、技術研發、行業市場等方面的獨特優勢，加速推進大健康食品產業領域開展更加廣泛深入的合作，共同助推荊門市經濟發展。預計本協議的簽署不會對公司2020年度的財務狀況及經營業績產生重大影響。
