中国宝丰国际(03966.HK)获东毅国际集团溢价约27.5%提要约 6月22日复牌
格隆汇 6 月 22日丨中国宝丰国际(03966.HK)发布公告，要约人及公司各自的董事于2020年6月17日联合宣布，要约人要求董事会向计划股东提出根据公司法第86条透过协议计划方式私有化公司的建议。倘该计划生效，该计划将规定计划股份将予以注销，以换取代价每股计划股份现金2.60港元。根据该计划，就注销计划股份应付的总代价将由要约人支付。
按照注销价每股计划股份2.60港元及该联合公告日期的已发行计划股份数目2.07696亿股计算，就注销所有计划股份应付的代价所需支付的总额约为5.40亿港元。要约人拟运用其本身内部资源为该建议集资。中信里昂信纳要约人具备充足财务资源，以就全面实行该建议及该计划履行其责任。注销价较股份于最后交易日在联交所所报的收市价2.04港元溢价约27.5%。
要约人东毅国际集团有限公司为于香港注册成立的有限公司，由党彦宝(公司主席兼执行董事)及峰腾分别持有51.22%及48.78%。
于该联合公告日期，公司的法定股本为800万港元，分为8亿股股份，当中6.63846亿股为已发行股份。于该联合公告日期，(i)要约人并无拥有任何股份，但要约人一致行动人士(包括党自东)持有合共4.6412亿股股份(占公司已发行股本约69.91%)，其中(a)峰腾持有4.5615亿股股份；及(b)党自东持有797万股股份；及(ii)计划股份包括2.07696亿股股份(占公司已发行股本约31.29%)，其中独立股东持有合共1.99726亿股股份(占公司已发行股本约30.09%)，而党自东(为要约人一致行动人士的成员)持有797万股股份。待该计划生效后，要约人及峰腾将分别持有2.07696亿股股份(占公司已发行股本约31.29%)及其余4.5615亿股股份(占公司已发行股本约68.71%)。
此外，要约人及要约人一致行动人士(包括但不限于党自东，惟中信里昂集团代表非全权委托投资客户持有的任何股份除外)将于法院会议上放弃投票。于该联合公告日期，公司概无已发行任何附有可认购或可转换为股份的权利但尚未行使的购股权或认股权证、衍生工具或其他相关证券。
根据该计划，公司的已发行股本将于该计划的生效日期透过注销及剔除计划股份削减。于股本削减后，公司将即时透过按面值向要约人发行总数相等于所注销计划股份数目的股份，将其已发行股本增至其原来金额。于公司账册中因股本削减而产生的进账，将按面值悉数缴足向要约人发行入账列作缴足的新股份。
董事会已成立由于该建议中并无直接或间接权益的全体非执行董事(即郑豪、钟建舜、夏佐全、田耕熹博士及郭学文)组成的独立董事委员会，以就该建议及该计划的条款是否属公平合理及如何于法院会议及公司股东特别大会上投票向独立股东提供推荐意见。
待该计划生效后，预期股份于联交所的上市地位将予以撤销。公司将于紧随该计划生效后向联交所申请撤销股份于联交所的上市地位。公司已向联交所申请于2020年6月22日上午九时正起于联交所恢复股份买卖。
