中來股份(300393.SZ)：公司控股股東將變更為烏江能源 實控人將變更為貴州省國資委
格隆匯 6 月 19日丨中來股份(300393.SZ)公佈，公司於2020年6月19日收到公司控股股東、實際控制人林建偉、張育政的通知：林建偉、張育政於2020年6月18日與貴州烏江能源投資有限公司(“烏江能源”)簽署了《股份轉讓框架協議》及《股份表決權委託協議》，林建偉、張育政擬將其直接持有的部分公司股份合計1.47億股(佔公司總股本的18.8745%，佔公司扣除回購專用證券賬户股數後總股本的18.8784%)分次協議轉讓給烏江能源，即第一次擬將直接持有的部分公司股份合計8.49萬股(佔公司總股本的9.7886%，佔公司扣除回購專用證券賬户股數後總股本的9.7906%)協議轉讓給烏江能源，並擬將其直接持有的部分公司股份合計1.25億股(佔公司總股本的16.0587%，佔公司扣除回購專用證券賬户股數後總股本的16.0621%)對應的表決權在協議有效期內不可撤銷的委託給烏江能源；第二次擬將直接持有的部分公司股份合計7071.61萬股(佔公司總股本的9.0859%，佔公司扣除回購專用證券賬户股數後總股本的9.0878%)協議轉讓給烏江能源。
同日，烏江能源與公司重要股東嘉興聚力伍號股權投資合夥企業(有限合夥)(“嘉興聚力”)簽署了《一致行動協議》，雙方約定在協議生效後將涉及中來股份的重大事項決策方面保持一致行動關係，通過公司股東大會以及提名/委派公司董事等，在股東大會層面和董事會層面對公司重大事項作出意思表示相同的決策，以確立及維護烏江能源對公司的控制地位。
此次股權轉讓及表決權委託實施完成後，公司的控股股東將變更為烏江能源，實際控制人將變更為貴州省人民政府國有資產監督管理委員會，此次轉讓有利於公司整合資源優勢，提升公司治理能力、抗風險能力及盈利能力，謀求公司健康可持續發展，不存在損害中小股東利益的情形。
