南國置業(002305.SZ)擬對電建地產實施吸收合併 6月22日起復牌
格隆匯 6 月 19日丨南國置業(002305.SZ)公佈,公司擬向電建地產的股東中國電建、中電建建築公司發行股份及支付現金作為對價,對電建地產實施吸收合併;南國置業為吸收合併方,電建地產為被吸收合併方。
此次吸收合併完成後,南國置業為存續方,將承繼及承接電建地產的全部資產、負債、人員、業務、合同及其他一切權利與義務,電建地產將註銷法人資格,電建地產及武漢新天地持有的公司股份將被註銷,中國電建將成為公司的控股股東。
另外,公司擬向不超過35名特定投資者非公開發行股份募集配套資金,募集資金總額不超過12.15億元,發行股份數量不超過此次發行前南國置業總股本的30%。
此次吸收合併交易對價由公司以發行股份及支付現金方式支付,其中,以現金方式支付對價12億元,根據預估值情況,預計以股份方式支付對價約97.82億元,股份發行價格為2.07元/股,發行股份數約472,577.28萬股。
此次交易前,電建地產持有南國置業38898.63萬股,持股比例22.43%;武漢新天地持有南國置業31321.6萬股,持股比例18.06%。武漢新天地為電建地產全資子公司,電建地產合計持有公司股權比例40.49%,為公司控股股東。電建集團通過中國電建、中電建建築公司合計持有電建地產100%股權,間接持有公司40.49%的股權,為公司實際控制人。公司最終實際控制人為國務院國資委。
此次交易完成後,電建集團仍為南國置業實際控制人,國務院國資委仍為南國置業最終實際控制人。此次交易不會導致上市公司實際控制人發生變更。根據《重組管理辦法》第十三條等相關規定,此次交易不構成重組上市。
通過此次交易,電建地產和公司將整合成為電建集團內融合住宅地產和商業地產一體化的全業態房地產專業化上市公司,擴大公司業務經營規模,通過共享市場、商業渠道、土地儲備等資源,實現優勢互補,提高資源利用效率;同時通過扁平化管理,優化內部管理體系,進一步激發企業活力,最大程度上發揮協同效應。
經向深圳證券交易所申請,公司股票將於2020年6月22日開市起復牌。
