啟迪環境(000826.SZ)：擬對5家子公司進行股權調整或進行增資
格隆匯 6 月 19日丨啟迪環境(000826.SZ)公佈，為加快推動濟南市醫療廢物集中處置項目建設，公司與山東大生環境科技有限公司(“山東大生”)擬對公司控股子公司濟南騰笙環保科技有限公司(“濟南騰笙”)的股權結構進行調整，具體調整方案為由山東大生對濟南騰笙進行增資，將其註冊資本由3300萬元增加至5176.3706萬元。新增註冊資本人民幣1876.3706萬元由山東大生全額認繳。此次增資價格以濟南騰笙經國有資產主管部門備案的評估報告為依據計算，增資價格不低於該部分股權所對應的評估價值，評估基準日為2019年12月31日。此次增資完成後，公司持有濟南騰笙51%的股權(認繳出資額2640萬元)，山東大生持有濟南騰笙49%的股權(認繳出資額2536.3706萬元)。此次增資需經國有資產相關主管部門審批完成後方可實施。
為提升雙城市生活垃圾處理項目資產質量，公司擬以債轉股方式對間接全資子公司雙城市格瑞電力有限公司(“雙城格瑞”)進行增資,將其註冊資本由人民幣8000萬元增加至人民幣1.8億元，新增註冊資本人民幣1億元由公司全額認繳。此次增資完成後，雙城格瑞註冊資本變更為人民幣1.8億元，其中，公司出資人民幣1.72億元，佔其註冊資本的96.56%；合加新能源出資人民幣800萬元，佔其註冊資本的4.44%。
為提升重慶市開縣生活垃圾處理項目資產質量，公司擬以債轉股方式對間接全資子公司重慶綠能新能源有限公司(“重慶綠能”)進行增資，將其註冊資本由人民幣1.2億元增加至人民幣2.8億元，新增註冊資本人民幣1.6億元由公司全額認繳。此次增資完成後，重慶綠能註冊資本變更為人民幣2.8億元，其中，公司出資人民幣2.68億元，佔其註冊資本的95.71%；合加新能源出資人民幣1200萬元，佔其註冊資本的4.29%。
為提升亳州生活垃圾焚燒處理項目資產質量，公司決定以債轉股的方式對間接全資子公司亳州潔能電力有限公司(“亳州潔能”)進行增資，將其註冊資本由人民幣1.2億元增加至2.8億元，新增註冊資本人民幣1.6億元由公司全額認繳。此次增資完成後，亳州潔能註冊資本變更為人民幣2.8億元，其中，公司出資人民幣2.68億元，佔其註冊資本的95.71%；公司全資子公司合加新能源汽車有限公司出資人民幣1200萬元，
為提升臨朐縣生活垃圾處理項目資產質量，公司決定以債轉股的方式對間接全資子公司臨朐邑清環保能源有限公司(“臨朐邑清”)進行增資，將其註冊資本由人民幣1億元增加至1.5億元，新增註冊資本人民幣5000萬元由公司全額認繳。此次增資完成後，臨朐邑清註冊資本變更為人民幣1.5億元，其中，公司出資人民幣1.4億元，佔其註冊資本的93.33%；公司全資子公司合加新能源汽車有限公司出資人民幣1000萬元，佔其註冊資本的6.67%。
公司上述對外投資事項涉及的交易總金額為人民幣4.7億元，佔公司最近一期經審計總資產的1.06%，佔公司最近一期經審計淨資產的3.12%。
