ST天業(600807.SH)擬2.652億元收購旺盛生態51%股權
格隆匯 6 月 19日丨ST天業(600807.SH)公佈，為拓展公司業務範圍，開拓新的業績增長點，完善公司產業園區開發業務產業鏈，公司擬與籍台商貿、山東旺盛建設集團有限公司(“旺盛集團”)、李春霞、付聿國簽署《股份轉讓協議》、《股份質押協議》，分期支付現金2.652億元收購籍台商貿持有的旺盛生態51%股權。
此次交易完成後，旺盛生態納入公司合併報表範圍。根據協議約定，籍台商貿、旺盛集團、李春霞、付聿國(簡稱“交易對方”)承諾旺盛生態2020年、2021年、2022年分別實現淨利潤不低於6000萬元、8000萬元、10000萬元，並承諾協助旺盛生態按協議約定分四期完成應收賬款清收，如未實現以上承諾，交易對方將以現金方式補償。為保證以上承諾實現，旺盛集團、付聿國將其持有的旺盛生態股權質押給公司，提供擔保；同時，各方對超額業績獎勵相關事項進行了約定。此次股權轉讓價格以山東正源和信資產評估有限公司出具的評估報告為定價依據經各方協商確定。
此次交易有助於公司拓展業務範圍，開拓新的業績增長點，旺盛生態為省級“專精特新”中小企業，擁有齊全的施工、建設資質、成熟的管理團隊和優秀技術，具有良好的經營能力和業務拓展能力，未來將成為公司新的業績增長點和收入來源，符合公司和全體股東的利益；此次交易完成後，旺盛生態將成為公司控股子公司，可以利用上市公司平台，積極擴大品牌宣傳、開拓全國市場，擴大業務規模，不斷提升其盈利能力和可持續發展能力。
同時，公司地產業務擬向產業園區開發運營業務轉型，園區開發業務涉及園林設計、施工等，此次收購的旺盛生態屬於土木工程建築業的園林市政施工、服務企業，與產業園區開發運營業務具有很強的協同效應，公司收購旺盛生態有利於延伸公司產業園區開發產業鏈，完善公司產業園區開發運營業務，提升產業園區綜合開發能力，加快推進公司向產業園區開發運營業務轉型，提高公司資源整合能力和整體競爭力，符合公司戰略規劃。此次交易完成後，旺盛生態將納入公司的合併報表範圍，預計將會對公司本期及未來業績產生積極影響。
