鼎豐集團控股(06878.HK)擬2.11億元收購兩房地產項目權益

格隆匯6月19日丨鼎豐集團控股(06878.HK)宣佈,公司間接全資附屬鼎豐文化旅遊擬向蔡芳向收購目標權益A、目標權益B(分別佔目標公司A及目標公司B的49%及51%權益)及債務,總代價約為人民幣2.11億元,透過按每股0.40港元發行5.8億股代價股份方式支付。

目標公司A乃指威海中天,主要業務為物業發展及銷售建築材料,其主要資產為目標土地A的土地使用權,該土地乃用作住宅、商業及社區發展,其上現正興建名為龍都麗景的住宅發展項目,預期將於2022年下半年落成。目標公司B乃指上杭豐達,主要業務為物業發展,持有位於中國上杭縣臨城鎮金山路東側及二環路南側的地塊,佔地總面積約為7萬平方米。

目標公司A於2020年5月31日的未經審核資產總值及未經審核資產淨值分別約為人民幣4.17億元及人民幣2749.6萬元。目標公司B於2020年6月17日的未經審核資產總值及未經審核負債淨值分別約為人民幣1.86億元及人民幣18.3萬元。

完成後,目標公司A將成為公司的間接全資附屬公司,而目標公司A的財務業績將於集團的財務業績內全面綜合入賬;目標公司B將成為公司間接擁有51%權益的附屬公司,而目標公司B的財務業績將於集團的財務業績內綜合入賬。

公司表示,就收購目標權益A而言,董事會相信此將容許公司取得目標公司A的全部所有權及控制權,令公司增長策略在中國更能有效落實,並避免與任何不熟悉的第三方一同經營業務。

就收購目標權益B及債務而言,集團認為於資產管理業務中進行的物業發展為帶動其增長的主要動力。由於集團現時在福建省上杭縣擁有另一塊地塊,董事會相信,是次透過目標公司B收購目標土地B一事將會為公司及其整體股東提供寶貴的商機及帶來協同效益。
