新農開發(600359.SH)：擬就阿拉爾中泰紡織就重大資產重組交易款項進行法院調解程序並形成調解方案
格隆匯 6 月 18日丨新農開發(600359.SH)公佈，交易標的為10萬噸棉漿粕生產線全部有效經營性資產及配套設施(包括存貨、固定資產、在建工程、無形資產等)(“標的資產”)以公開掛牌轉讓的方式，通過兩次掛牌，並經2017年4月新農開發第二次臨時股東大會通過，以11.7億元價格轉讓給阿拉爾中泰紡織。新農化纖與阿拉爾中泰紡織簽署了《產權交易合同》與相關《補充合同》，約定最遲付款日為2018年12月30日，截至目前尚欠公司2.69億元及相關利息。
2020年初，公司準備提起仲裁併向法院提起財產保全。但因突發疫情，原計劃在烏魯木齊提請仲裁因疫情防控尚未結束，造成問題解決限期不可控，恐難如期實現結果。同時，履約方阿拉爾中泰紡織公司因疫情影響，經營受到波及，資金鍊吃緊，立即償付存在困難和風險。
調解情況：為有利於防控疫情，加快推進解決付款進度，促進復工復產，阿拉爾中泰紡織請求將仲裁方式變更為在本轄區內通過法院訴訟解決本次未了交易付款事項。
經雙方多輪磋商達成如下共識。一是確認截止2020年5月11日，阿拉爾中泰紡織欠付新農化纖轉讓款本金2.69億元，雙方於2017年3月18日簽訂的產權交易合同及補充協議中所涉及的付款利息和其他爭議由雙方自行協商解決；二是新農化纖同意解除對阿拉爾中泰紡織的訴前財產保全；三是第一筆款項於訴前財產保全解除之日起五日內支付轉讓款1000萬元、第二筆於2020年12月20日前支付5900萬元(對於新農化纖欠付阿拉爾中泰紡織的2000萬元認繳出資款，在本次履行時進行衝抵)；第三筆於2021年12月20日前支付1億元;第四筆於2022年12月20日前支付1億元。四是以上款項如有任何一筆未按規定的時間支付，則新農化纖有權就剩餘未付款項向法院申請強制執行。五是新疆中泰紡織就阿拉爾中泰紡織的付款責任承擔連帶付款擔保義務與原協議擔保約定不變。
此調解方案，不違反法律規定。
