露天煤業(002128.SZ)：6月17日嘉能可已經提取2000萬美元備用信用證保證金
格隆匯 6 月 17日丨露天煤業(002128.SZ)公佈，2020年3月13日，公司發佈《公司控股子公司收到<答辯書、反訴書和交叉請求書>公告》。公告中描述“2008年4月，內蒙古霍煤鴻駿鋁電有限責任公司(“霍煤鴻駿鋁電公司”、“買方”)與嘉能可公司(GLENCORE AC)(“嘉能可”、“賣方”)簽訂十年期氧化鋁《銷售合同》”“買方應在合同簽訂後以備用信用證或銀行保函等形式向賣方提供2000萬美元的履約保證金”。
近日，霍煤鴻駿鋁電公司收到中國銀行股份有限公司內蒙古自治區分行出具的《中國銀行保函索賠通知書》，該行稱收到RABOBANK UTRECHT(荷蘭合作銀行)關於嘉能可提取霍煤鴻駿鋁電公司開具的2000萬美元備用信用證的通知。
此後買賣雙方通過各自代理律師事務所就是否提取備用信用證保證金進行函件溝通，未能達成一致。嘉能可案件代理律師事務所表示嘉能可將於2020年6月17日提取2000萬美元備用信用證保證金。
2020年6月17日嘉能可已經提取2000萬美元備用信用證保證金，霍煤鴻駿鋁電公司與案件代理律師將向香港國際仲裁中心提請訴中裁決等方式賠償霍煤鴻駿鋁電公司因此遭受的損失。
根據公司控股股東中電投蒙東能源集團有限責任公司(“蒙東能源”)在公司實施發行股份及支付現金購買霍煤鴻駿鋁電公司51%股權並募集配套資金暨關聯交易時出具的《關於霍煤鴻駿鋁電公司所涉訴訟糾紛的承諾》，因此次交易評估基準日前的交易事項或其他事項引致的訴訟、仲裁事項或協助司法裁定執行事項，而使霍煤鴻駿鋁電公司被有權法院、仲裁機構最終判處/裁定承擔相關責任而遭受損失。蒙東能源將根據此次交易中轉讓股權的比例對上市公司進行補償。若霍煤鴻駿鋁電公司通過訴訟或其它方式追回所遭受的損失，則露天煤業應在收到相關款項，將所追回的損失按此次股權轉讓比例一次匯入蒙東能源指定的銀行賬户。
