京新藥業(002020.SZ)擬4.72億元向杭州方佑購買物業資產 用於杭州研發平台等
格隆匯 6 月 17日丨京新藥業(002020.SZ)公佈，公司於2020年6月16日召開第七屆董事會第十次會議，審議通過了《關於購買物業資產暨關聯交易的議案》，同意公司以自有資金約4.72億元向杭州方佑生物科技有限公司(“杭州方佑”)購買物業資產用於公司杭州研發平台、新產業項目孵化、高端醫療器械生產及辦公、員工住宿使用，此次交易構成關聯交易。
公司擬與杭州方佑簽訂《物業資產買賣合同》，公司受讓杭州方佑持有的位於杭州臨空經濟示範區(蕭山區南陽街道南興村)待建的研發、生產、辦公用房及部分員工宿舍房產，標的物業總建築面積約38235.80平方米(暫計數據，最終以房地產權屬證書記載面積為準)，交易單價12350元/平方米(不含税)，交易總價為約4.72億元(不含税)。
公司此次擬購買的標的物業位於杭州臨空經濟示範區(蕭山區南陽街道南興村)，區塊位置為蕭山區港城大道以北、南陽大道以東、規劃南義路以南，靠近地鐵1號線南陽大道站，交通便捷。據政府規劃，2022年亞運會主會場位於杭州市蕭山區，2023年底該地區將形成一定的市政配套規模，市政配套較完善。該項目目前已經取得不動產所有權證書，證書號碼為浙(2020)蕭山區不動產權第0036309號，項目規劃總用地面積34217平方米，總建築面積139166.60平方米，其中孵化樓5棟，檢測樓4棟，員工宿舍樓1棟，建設大健康產業科創中心。
公司此次擬購買科創中心的部分物業資產，具體為孵化樓3棟28層，建築面積約34411.90平方米，員工宿舍樓3層，建築面積約3823.90平方米，合計總建築面積38235.80平方米。
此次交易的實施完成，有助於公司提升創新研發、集團運營、項目孵化、高端製造等綜合實力和競爭力，促進公司可持續發展，符合公司長遠發展戰略。此次交易公司以自有資金支出，分期支付，對公司現金流、當期財務狀況及經營成果無重大影響。
