*ST步森(002569.SZ)澄清公告：公司不存在直接或變相為任何非法平台提供資金結算通道的行為
格隆匯 6 月 15日丨*ST步森(002569.SZ)公佈，公司關注到相關媒體刊登轉載標題為《李鬼“中城證券”背後是誰？或隱現ST步森實控人》等新聞。文中提到廣東信匯電子商務有限公司(以下簡稱“廣東信匯”)原系公司實際控制人王春江控制的企業易聯匯華(北京)科技有限公司(以下簡稱“易聯匯華”)的控股子公司，後上市公司於2019年9月收購了“易聯匯華”持有的該公司60.4%股權。該事項已經公司董事會及股東大會審議通過。該股權交易涉及到中國人民銀行頒發的銀行卡收單支付業務許可證的轉讓，需向中國人民銀行提交資料辦理變更，目前央行正在審批中。上述該報道中提及廣東信匯為相關平台提供資金結算通道等內容，此後部分媒體進行轉載。相關報道與事實不符，為避免誤導投資者，現予以澄清説明。
經核實，公司針對上述不實傳聞事項澄清説明如下：
1、經步森股份向廣東信匯核實，廣東信匯高度重視，第一時間成立以公司總經理為組長的調查小組，對該情況進行調查處理，通過全面篩查公司後台數據，問詢相關工作人員等，廣東信匯現根據調查結果做如下聲明：經公司核實，此報道情況不屬實。公司僅從事實體商户的銀行卡收單業務。公司本身並不經營或參與經營任何證券類公司。通過對我公司所有歷史合作及正在合作的服務商及商户進行依次排查，並未發現商户“中城證券”及關聯商户，該證券公司與我公司無業務上的往來。此前，我公司從未接到過關於“中城證券”和文章提到的“許亮”的投訴，也沒有任何監管機構和司法部門向我公司調查與此證券公司有關的情況。經再三核實，公司不存在直接或變相為任何非法平台提供資金結算通道的行為。
2、上市公司及廣東信匯並未接受相關媒體的採訪，對此事亦不知情。本次事件不排除有違法分子的惡意投訴，或者競爭對手的惡意污衊。歡迎媒體及廣大投資者積極提供相關證據。廣東信匯擁有人民銀行頒發的“第三方支付牌照”，允許為商户開通銀行卡收單，提供支付結算相關服務。如果有平台商户利用合法賬户從事非法行為，此種情形與犯罪份子通過銀行賬户、支付寶或者微信賬户從事非法交易行為屬於同一性質，建議掌握有關證據的當事人及時報警處理，第三方支付機構會妥善處理，配合調查。
3、步森股份正在現任實際控制人王春江、董事會及經理層的帶領下，積極解決上市公司的歷史遺留問題，在做優傳統服裝業務的基礎上，積極謀取產業支付等新的業務發力點。
4、公司將持續關注媒體報道，對於造謠誹謗中傷公司、損害公司形象的行徑，公司不排除將根據事態發展追究其法律責任，包括但不限於要求停止侵權行為，公開道歉直至消除影響，賠償由此給公司造成的損失，並對相關責任人侵害公司商譽的行為追究其法律責任。
