世紀華通(002602.SZ)：擬控制智慧雲實業並將其作為投資平台 用於收購上海瓏睿10%股權並對其增資31億元
格隆匯 6 月 15日丨世紀華通(002602.SZ)公佈，公司全資子公司浙江世紀華通創業投資有限公司(“華通創投”)作為有限合夥人以人民幣27億元與普通合夥人無錫龍山七道投資管理有限公司(“龍山七道”)、有限合夥人無錫第七大道科技有限公司(“無錫七道科技”)及順網科技設立合夥企業——無錫世紀七道智慧雲實業投資合夥企業(有限合夥)(“智慧雲實業”或“合夥企業”)，合夥企業各合夥人認繳出資金額合計60億元。智慧雲實業主要以自有資金從事實業投資、產業投資、項目投資、創業投資、股權投資等活動。上述事項已經公司2020年3月25日召開的第四屆董事會第三十二次會議審議通過《關於公司全資子公司出資設立合夥企業的議案》。
公司之全資孫公司盛趣股權投資管理(上海)有限公司(“盛趣投資”)擬受讓龍山七道持有的上述合夥企業100萬元財產份額及權利，並擔任智慧雲實業之普通合夥人；公司全資子公司華通創投擬受讓無錫七道科技持有的30.99億元合夥企業出資份額及權利；深圳一村同威投資中心(有限合夥)(“一村同威”)擬受讓順網科技持有的2億元合夥企業出資份額及權利。同時，華通創投擬增加對合夥企業的認繳出資金額12億元，將合夥企業的總認繳出資金額增加至72億元。
盛趣投資、華通創投已分別與龍山七道、無錫七道科技簽署《財產份額轉讓協議》，華通創投已與智慧雲實業及其他合夥人簽署《增資協議》。
根據上述安排，智慧雲實業的具體出資結構安排如下：
公司此次對外投資後將控制智慧雲實業並增加對智慧雲實業的認繳出資金額。智慧雲實業主要投資範圍為：數據中心、雲計算、雲存儲等IDC產業，具有快速成長潛力或創新特性的項目。此次投資的主要目的系通過智慧雲實業對上海瓏睿信息科技有限公司(“上海瓏睿”)進行投資。
公司此次擬通過全資孫公司及全資子公司控制智慧雲實業並將其作為投資平台，用於收購上海瓏睿10%股權並對其增資31億元。
